The Company will exercise reasonable diligence and care to furnish and deliver a continuous and sufficient supply of electric energy to the customer, and to avoid any interruption of delivery of same. The Company will not be liable for interruption or insufficiency of supply or any loss, cost, damage or expense of any nature whatsoever, occasioned thereby if caused by accident, storm, fire, strikes, riots, war or any cause not within the Company’s control through the exercise of reasonable diligence and care. B. The Company, whenever it shall find it necessary for the purpose of making repairs, changes or improvements to its system, will have the right to suspend temporarily the delivery of electric energy, but in all such cases, as reasonable notice thereof as circumstances will permit, will be given to the customer, and the making of such repairs, changes or improvements will be prosecuted as rapidly as may be practicable, and if practicable, at such time as will cause the least inconvenience to the affected customer. C. Should a shortage of supply ever occur, the Company will apportion its available supply of electricity among its customers as authorized or directed by the Public Utilities Commission. In the absence of a Commission order, the Company will apportion the supply in the manner that appears to it most equitable under conditions then prevailing. Any rules, regulations, rates or contracts of the Company which are inconsistent with such order or plan shall be deemed suspended while such order or plan is in effect and the Company shall not be liable when it acts in substantial compliance with such order or plan. D. On a semiannual basis, the Company shall provide to the customer notification of the customer’s right to file compensation claims with the Company for any loss, cost, damage or expense caused by an interruption of service. The notification shall be on a separate information sheet enclosed with the billing. E. For a customer’s compensation claim to be valid, it must be filed with the Company within thirty (30) days of the interruption of service. The Company shall review every claim and shall compensate the customer for any loss, cost, damage or expense as determined by the Company to be within the Company’s control. The KIUC Board of Directors appoints a nominating committee consisting of four community members at least 80 days prior to election day, and a nominating committee chairman is appointed from a director that is not up for election. The responsibility of the nominating committee is to receive and review the resumes and letters of interest for potential candidates. Board Policy 18 lists the board member qualifications and eligibility for the general, bylaw and board requirements for being a director. The policy can be found at www.kiuc.coop under the “Board” section. Resumes and letters of interest can be sent to the nominating committee for consideration. The deadline to submit a resume is close of business on January 4. Each prospective nominee is required to attend a directors duties orientation and confirm their willingness to serve. Once the orientation is completed, the nominating committee chooses the slate from willing nominees and the nominees are contacted for acceptance. The slate of nominees is announced at least 60 days prior to election day. Once the nominees are announced, member petitions are accepted and due by close of business on February 2. If there are petition candidates, another directors duties orientation is held, and upon completion, the final list of candidates is announced. KIUC BOARD OF DIRECTORS Democratic Member Control, 2012 Board Election KIUC’s Board of Directors Election is set for March 24. The petitioner must obtain the account holder names, signatures and account information from at least 35 members, none of whom have previously signed more than two other member petitions for director nominations in this election. It is recommended the petitioner collect more than the minimum number of member signatures in the event one or more signatures are invalidated. The petition is verified by staff, and the petition candidate must attend a directors duties orientation. If there are any bylaw amendments, it is brought up for review and finalized at the January board meeting. The voter list—the members who will receive election packets—is finalized 30 days prior to election day. The election packet is mailed to members at least 20 days prior to the election. Members should receive their packet in the mail the first week of March. The final day for members to cast their ballots is March 24, 2012, at noon.
