Defendant MOGILEVICH was a 40% shareholder <strong>of</strong> ARIGON, and directed and controlled its<br />

operations. ARIGON operated as a trader <strong>of</strong> commodities and consumer goods which were<br />

purchased in Western Europe and North America, and resold in Eastern Europe, including Russia<br />

and Ukraine. In or about December 1994, as part <strong>of</strong> the scheme to defraud, ARIGON was<br />

acquired by YBM MAGNEX, INC. ("YBM MAGNEX"), a Pennsylvania corporation set up by<br />

defendant BOGATIN. ARIGON became a subsidiary <strong>of</strong> YBM, the public corporation, in or<br />

about November 1995. ARIGON remained a subsidiary <strong>of</strong> YBM until April 1, 1996 when its<br />

assets were transferred to UNITED TRADE LIMITED ("UNITED TRADE"). ARIGON was<br />

dissolved in 1997. ARIGON's two subsidiaries were:<br />

(a) MAGNEX VALLALKOZOI RT (“MAGNEX RT”), a Hungarian<br />

corporation, located in Budapest. MAGNEX RT became a subsidiary <strong>of</strong><br />

ARIGON in or about October 1992. MAGNEX RT owned the<br />

manufacturing plant in Budapest, Hungary, which purportedly produced<br />

YBM's neodymium magnets. ARIGON was to market, sell and distribute<br />

the magnets produced by MAGNEX RT, and was to purchase raw<br />

materials on behalf <strong>of</strong> MAGNEX RT. MAGNEX RT became a subsidiary<br />

<strong>of</strong> UNITED TRADE on or about April 1, 1996, when ARIGON<br />

transferred its assets to UNITED TRADE.<br />

(b) ARBAT INTERNATIONAL, INC. ("ARBAT"), a Russian company<br />

located in Moscow, was formed by ARIGON in or about July 1991 to<br />

conduct trading activity in Russia. ARIGON divested itself <strong>of</strong> ARBAT on<br />

or about April 1, 1996. Thereafter, ARBAT was no longer within the<br />
