state securities laws by its members. The NASDAQ Stock Market was an electronic, computer<br />

screen–based market that enabled securities firms to execute transactions for investors in the<br />

companies that are listed on NASDAQ. Companies that were listed on the NASDAQ were<br />

required to comply with the NASD’s rules and regulations, as well as those <strong>of</strong> the SEC, in order<br />

to maintain their listing on the NASDAQ.<br />

22. The Alberta Securities Commission (“ASC”) was a governmental<br />

regulatory body in Canada which administered and enforced Canadian securities legislation and<br />

regulations in the province <strong>of</strong> Alberta, including supervisory oversight <strong>of</strong> the regulations <strong>of</strong> the<br />

Alberta Stock Exchange.<br />

23. The Alberta Stock Exchange (“ASE”) was a self-regulatory organization<br />

located in Calgary, Canada that provided a securities market for the trading <strong>of</strong> securities and<br />

monitored and enforced compliance with the Canadian securities regulations <strong>of</strong> its exchange.<br />

The ASE had a program for start-up companies with no significant assets or business, known as<br />

Junior Capital Pool ("JCP"), which provided such companies easier access to listing on the ASE<br />

in order to raise capital to conduct business in Canada. Companies had to satisfy and comply with<br />

specific requirements and regulations <strong>of</strong> the ASE in order to avail themselves <strong>of</strong> this type <strong>of</strong><br />

listing.<br />

24. The Ontario Securities Commission (“OSC”) was a governmental<br />

regulatory body in Canada which administered and enforced securities legislation and regulations<br />

in the province <strong>of</strong> Ontario, including supervisory oversight <strong>of</strong> the regulations <strong>of</strong> the Toronto<br />

Stock Exchange.<br />
