industry and data services market. The combination of Clearnet with <strong>TELUS</strong> increases the areas in which<br />

<strong>TELUS</strong> will offer both wireline and wireless services and it will increase the opportunity <strong>to</strong> offer cus<strong>to</strong>mers<br />

across the country bundles of communications services.<br />

The combined company’s operational strength and scale are expected <strong>to</strong> enhance its ability <strong>to</strong> develop<br />

existing networks and be at the forefront of the provision of technologically advanced products and services.<br />

<strong>TELUS</strong> management expects the combined companies <strong>to</strong> lead the Canadian wireless market according <strong>to</strong> most<br />

performance metrics (i.e., market share as a percent of revenue, market share of new subscribers, average<br />

revenue per cus<strong>to</strong>mer and spectrum).<br />

<strong>TELUS</strong> believes that Clearnet is better placed <strong>to</strong> capture these opportunities as a part of <strong>TELUS</strong> than on<br />

its own. <strong>TELUS</strong> will be able <strong>to</strong> fund the rapid growth requirements of the wireless and data business<br />

opportunities since <strong>TELUS</strong>’ wireline business has his<strong>to</strong>rically provided a substantial, stable cash flow.<br />

Furthermore, <strong>TELUS</strong>’ management has a strong track record of achieving synergies in previous mergers and<br />

acquisitions and expects <strong>to</strong> create substantial value through this acquisition. It is expected that Clearnet and<br />

<strong>TELUS</strong> will benefit from significant strategic partnerships with Verizon, Mo<strong>to</strong>rola and Nextel. Through <strong>TELUS</strong>,<br />

the combined company should also be able <strong>to</strong> leverage the national <strong>TELUS</strong> network being constructed. This<br />

network combined with the national CDMA and Mike networks should also provide scale and resources <strong>to</strong> lead<br />

the Canadian industry in the deployment of mobile data applications.<br />

<strong>TELUS</strong> has established relationships with several content and e-commerce providers on both its wireline<br />

and wireless businesses. <strong>TELUS</strong> has launched mobile data applications in Western Canada. Since Clearnet<br />

cus<strong>to</strong>mers have the highest proportion of web enabled phones of any Canadian wireless opera<strong>to</strong>r, <strong>TELUS</strong><br />

believes the combined companies’ resources and expertise can be leveraged <strong>to</strong> accelerate wireless data and<br />

e-commerce penetration on a national scale. <strong>TELUS</strong> anticipates that the combined mobile group will be an<br />

opera<strong>to</strong>r and partner of choice for major content e-commerce providers.<br />

PLANS FOR <strong>CLEARNET</strong><br />

Following the merger of BC TELECOM Inc. and the former <strong>TELUS</strong> Corporation in 1999 <strong>to</strong> form <strong>TELUS</strong>,<br />

<strong>TELUS</strong>’ strategy has been <strong>to</strong> become a national, full service telecommunications provider.<br />

In the wireless segment of the telecommunications market, <strong>TELUS</strong> was faced with a choice of acquiring a<br />

national mobile wireless provider, acquiring additional spectrum and building infrastructure in those provinces<br />

and terri<strong>to</strong>ries in Canada where it has no or very limited facilities-based presence, or continuing as a reseller of<br />

another opera<strong>to</strong>r’s services.<br />

<strong>TELUS</strong> management expects the acquisition of Clearnet <strong>to</strong> accelerate <strong>TELUS</strong>’ entry in<strong>to</strong> the national<br />

mobile wireless market by approximately three years (relative <strong>to</strong> the alternative of acquiring spectrum and<br />

building) and <strong>to</strong> allow it <strong>to</strong> attain significant scale advantages. <strong>TELUS</strong> believes the wireless industry structure<br />

will be stronger as a result of the completion of its acquisition of Clearnet. The acquisition of Clearnet is<br />

expected <strong>to</strong> make <strong>TELUS</strong> the largest wireless opera<strong>to</strong>r in Canada in terms of annual revenue, cus<strong>to</strong>mer growth<br />

and wireless spectrum position. Management estimates that the combined entity will have more than 1.8 million<br />

cus<strong>to</strong>mers, a license <strong>to</strong> provide coverage <strong>to</strong> 30.7 million potential cus<strong>to</strong>mers and existing digital network<br />

coverage for more than 21 million potential cus<strong>to</strong>mers across Canada.<br />

The acquisition of Clearnet is also expected <strong>to</strong> facilitate the realization of <strong>TELUS</strong>’ second priority, the<br />

expansion of its data and Internet Pro<strong>to</strong>col capabilities. The Clearnet national wireless access capabilities and<br />

cus<strong>to</strong>mer base will complement existing and planned <strong>TELUS</strong> capabilities in the data and Internet Pro<strong>to</strong>col<br />

segments of the market. This acquisition provides <strong>TELUS</strong> with a national wireless footprint and a cus<strong>to</strong>mer base<br />

from which <strong>to</strong> grow its business across Canada.<br />

The major benefits of this acquisition <strong>to</strong> <strong>TELUS</strong> are: (i) speed <strong>to</strong> market, (ii) a national spectrum rich<br />

footprint, (iii) an experienced management team and skilled employee base that will complement the existing<br />

talent pool within <strong>TELUS</strong>, (iv) a complement <strong>to</strong> <strong>TELUS</strong>’ data and Internet Pro<strong>to</strong>col strategy, and (v) economic<br />

benefits over a build strategy.<br />
