appointments to the positions <strong>of</strong> director, head football coach, head basketball<br />

coach, as well as the assignment <strong>of</strong> funds for new projects or nonrecurring capital<br />

expenditures in excess <strong>of</strong> $12,500, shall be presented to the <strong>Board</strong> <strong>of</strong> <strong>Trustees</strong> for<br />

approval.<br />

<strong>The</strong> student advisory vote was: Aye, Mr. Grady, Mr. Sobotka, Miss<br />

Wyncutt; no, none.<br />

On motion <strong>of</strong> Mr. Hahn, this recommendation was approved, and<br />

authority was given as recommended by the following vote: Aye, Dr.<br />

Dmoghue, Mr. Forsyth, Mr. Hahn, Mr. Howard, Mr. Len% Mr. Neal,<br />

ME. Shepherd, Mr. Stone, Mr. Velasquez; no, none; absent, Governor<br />

Thompson.<br />

Amendment <strong>of</strong> Bylaws, Athletic Association <strong>of</strong> the <strong>University</strong><br />

<strong>of</strong> <strong>Illinois</strong> at Urbana-Champaign<br />

(5) <strong>The</strong> Bylaws <strong>of</strong> the Athletic Association <strong>of</strong> the <strong>University</strong> <strong>of</strong> <strong>Illinois</strong> at Urbana-<br />

Champaign make no provision for the indemnification <strong>of</strong> its directors and <strong>of</strong>ficers or<br />

former directors or <strong>of</strong>ficers against expenses incurred in connection with the<br />

defense or settlement <strong>of</strong> claims, action, suit, or proceedings in which any <strong>of</strong> them<br />

might be involved pursuant to their <strong>of</strong>ficial responsibilities in relation to the<br />

Athletic Association. To correct this situation, the <strong>Board</strong> <strong>of</strong> Directors <strong>of</strong> the<br />

Athletic Association on July 28, 1979, approved the adoption <strong>of</strong> the following<br />

amendment, subject to further action <strong>of</strong> the <strong>Board</strong> <strong>of</strong> <strong>Trustees</strong>:<br />

Article VI. <strong>Board</strong> <strong>of</strong> Directors<br />

Section 10. Pursuant to the statutory provisions governing the Association,<br />

the <strong>Board</strong> <strong>of</strong> Directors has the authnrity in its discretion to agree to<br />

indemnify any and all <strong>of</strong> its directors and <strong>of</strong>ficers or former directors or<br />

<strong>of</strong>ficers against expenses actually and necessarily incurred in connection<br />

with the defense or settlement <strong>of</strong> any claims, action, suit or proceedings<br />

in which they or any <strong>of</strong> them are involved or made parties or a party by<br />

reason <strong>of</strong> being or having been directors or a dirertor or <strong>of</strong>ficers <strong>of</strong> the<br />

Association, or for claims made against them, except in relation to matters<br />

as to which any such director or <strong>of</strong>ficer or former director or &cer or<br />

person shall be adjudged by the directors or in such action or suit or<br />

proceeding to be liable for willful misconduct in the performance <strong>of</strong> duty<br />

and to such matters as shall be settled by agreement predicated on the<br />

evidence <strong>of</strong> such liability. <strong>The</strong> <strong>Board</strong> <strong>of</strong> Directors may also authorize<br />

the purchase and maintenance <strong>of</strong> insurance against liability hazard against<br />

the aforementioned individuals and Association.<br />

<strong>The</strong> chancellor at the Urbana-Champaign campus has recommended approval<br />

<strong>of</strong> the amendment.<br />

I concur.<br />

On motion <strong>of</strong> Mr. Howard, this recommendation was approved.<br />

On motion <strong>of</strong> Mr. Stone, the board agreed that one roll call vote<br />

would be taken and considered the roll call vote on each <strong>of</strong> the next ten<br />

items.<br />

On motion <strong>of</strong> Mr. Stone, items 6 through 15 inclusive were approved.<br />

Award <strong>of</strong> Certified Public Accountant Certificates<br />

(6) <strong>The</strong> Committee on Accountancy recommends that the certificate <strong>of</strong> certified<br />

public accountant be awarded to 1,059 candidates who passed the standard written
