Key Responsibilities<br />

Key responsibilities of the Investor Grievance committee are<br />

as follows:<br />

• Formulation of procedures in line with the statutory<br />

guidelines to ensure speedy disposal of various requests<br />

received from shareholders from time to time;<br />

• Redressal of shareholders and investor complaints/<br />

grievances related to transfer of shares, non receipt of<br />

balance sheet, non receipt of declared dividend etc.;<br />

• Approve, register, reject transfer / transmission of shares<br />

and other securities;<br />

• Sub-divide, consolidate and / or replace any share or other<br />

securities certificate(s) of the Company;<br />

• Issue duplicate share /other security(ies) certificate(s) in<br />

lieu of the original share / security(ies) certificate(s) of the<br />

Company;<br />

• Approve the transmission of shares or other securities<br />

arising as a result of death of the sole/ any one joint<br />

shareholder or by operation of law;<br />

• Dematerialise or rematerialise the share certificates;<br />

• Further delegate all or any of the powers to any other<br />

employee(s), officer(s), representative(s), consultant(s),<br />

professional(s) or agent(s).<br />

The Board is sufficiently satisfied that the Investor Grievance<br />

committee has complied with the responsibilities as outlined<br />

in the Investor Grievance Committee’s Charter in dealing with<br />

investor grievances and its share transfer systems.<br />

Compliance Officer<br />

Vijaya Sampath, Group General Counsel & Company<br />

Secretary acts as Compliance Officer of the Company for<br />

complying with the requirements of the listing agreement<br />

with the Stock Exchanges and requirements of SEBI<br />

(Prohibition of Insider Trading) Regulations, 1992.<br />

Nature of complaints and redressal status<br />

During the financial year 2009-10, the complaints and<br />

queries received by the Company were general in nature,<br />

which include issues relating to non-receipt of dividend<br />

warrants, shares and annual reports, etc. which were<br />

resolved to the satisfaction of the respective shareholders.<br />

Details of the investors’ complaints as on March 31, 2010 are<br />

as follows:<br />

Other Committees<br />

In addition to the above committees, the Company also has<br />

a functional committee known has the Committee of<br />

Directors. The Committee comprises of four directors, three<br />

of whom including the Chairman are non-executive directors.<br />

This Committee has been constituted to cater to the various<br />

day-to-day requirements and to facilitate the seamless<br />

operations of the Company. The Committee meets generally<br />

on a monthly basis. The Committee may also meet<br />

additionally, if so required. Constitution of this committee<br />

has been duly approved by the Board.<br />

SUBSIDIARY COMPANIES<br />

Clause 49 defines a ‘material non-listed Indian subsidiary’ as<br />

an unlisted subsidiary, incorporated in India, whose turnover<br />

or net worth (i.e. paid-up capital and free reserves) exceeds<br />

20% of the consolidated turnover or net worth respectively,<br />

of the listed holding company and its subsidiaries in the<br />

immediately preceding accounting year.<br />

Bharti Infratel Limited is a material non-listed Indian<br />

subsidiary as defined under clause 49 of the listing<br />

agreement. N. Kumar, independent non-executive director<br />

has been appointed as an independent non-executive<br />

director on the Board of Bharti Infratel Limited w.e.f. April 29,<br />

2008, in compliance with the clause 49(III)(i) of the listing<br />

agreement with the stock exchanges.<br />
