Resolution<br />

In the insolvency proceedings concerning the assets of<br />

Phoenix Kapitaldienst GmbH Gesellschaft für die Durchführung und<br />

Vermittlung von Vermögensanlagen (company for realisation and conveyance<br />

of productive investments), Vilbeler Strasse 29, 60313 Frankfurt am Main<br />

a.m. in accordance with §§2, 3, 11, 16ff Insolvency Act due to insolvency and<br />

excess liabilities over assets.<br />

The debtor is prohibited from disposing of its current and future assets for the<br />

duration of the insolvency proceedings. This power of disposal is transferred<br />

to the insolvency administrator. Debt-indemnifying payments to the debtor<br />

may no longer be made once insolvency proceedings have commenced, if<br />

they are paid to the debtor despite this and if the means do not reach the<br />

debtor’s estate, there is the risk of being obliged to make the payment again<br />

to the insolvency administrator.<br />

Resolution<br />

In the insolvency proceedings concerning the assets of<br />

the creditors are invited:<br />

a) to register insolvency claims (§38 Insolvency Act) with the insolvency<br />

administrator in writing and subject to § 174 Insolvency Act by:<br />

15.09.<strong>2005</strong><br />

b) to immediately inform the insolvency administrator which security rights<br />

they are claiming to moveable assets or to rights of the debtor. The object on<br />

the basis of which the security rights are claimed, the type and original cause<br />

of the security rights as well as the secured claim are to be identified. Anyone<br />

who culpably omits or delays notification is liable for the damage resulting<br />

from this (§28 paragraph 2 Insolvency Act).<br />

Persons who have liabilities towards the debtor are requested to no longer<br />

pay these to the debtor but to the insolvency administrator (§28 paragraph 3<br />

Insolvency Act).


The following meetings will be held by the Insolvency <strong>Court</strong>:<br />

1. on Wednesday, 05.10.<strong>2005</strong>, 10:30 a.m., “Harmonie Saal” at the Congress<br />

Center at the Messe Frankfurt, Ludwig-Erhard- Anlage 1, 60327 Frankfurt/M.<br />

there will be a creditors’ meeting to formulate a resolution concerning the<br />

possible selection of another Insolvency Administrator, the implementation of<br />

a panel of creditors as well as the other matters identified in §§ 66, 100, 149,<br />

157, 160, 162, 271 Insolvency Act;<br />

2. on Thursday 24.11.<strong>2005</strong>, 10:00 a.m. Hall 1, Building F, Klingerstrasse 20,<br />

60313 Frankfurt am Main there will be a creditors’ meeting in which the<br />

registered claims will be reviewed.<br />

The panel of creditors implemented in the proceedings initiated upon petition<br />

in accordance with § 67 Insolvency Act remains in place. This is made up of<br />

the following members:<br />
