SECTION B: THE <strong>LEAGUE</strong> – GOVERNANCE<br />

Name and Membership Old Rule<br />

B.1. The League’s first team competition shall be called “The Premier League” to which<br />

may be added the name of the Title Sponsor.<br />

B.2. The League’s first team competition shall consist of teams of those association<br />

football clubs playing in England and Wales not exceeding 20 in number which are<br />

from time to time members of the League.<br />

B.3. Each member Club shall on request give to the League the address of its registered<br />

office and shall provide to the League certified true copies of:<br />

B.3.1. its certificate of incorporation; and<br />

B.3.2. its memorandum of association; and<br />

B.3.3. its articles of association; and<br />

B.3.4. any amendments to the above documents.<br />

B.4. At the end of each Season the Board shall require each of the Clubs relegated in<br />

accordance with Rule C.11 to execute an instrument transferring its ordinary share<br />

in the League to such of the 3 clubs promoted to the League from the Football<br />

League as the Board directs.<br />

B.5. Upon such share transfers being registered in accordance with the Articles each<br />

of the promoted Clubs will become a member of the League.<br />

B.6. A Club shall cease to be entitled to be a member of the League (and upon<br />

registration in accordance with the Articles of the transfer of its ordinary share in<br />

the League shall cease to be a member thereof) following:<br />

B.6.1. its relegation in accordance with Rule C.11; or<br />

B.6.2. the receipt of a notice by the Board under the provisions of Article 10.1; or<br />

B.6.3. its expulsion under the provisions of Rule B.7; or<br />

B.6.4. its resignation under the provisions of Rules B.8 and B.10.<br />

B.7. Notwithstanding the provisions of Article 27, the League may expel a Club from<br />

membership upon a special resolution to that effect being passed by a majority of<br />

not less than three-fourths of such members as (being entitled to do so) vote by<br />

their representatives or by proxy at a General Meeting of which notice specifying<br />

the intention to propose the resolution has been duly given.<br />

B.8. Any Club intending to resign as a member of the League may do so only with<br />

effect from the end of the Season upon which it is intended that such resignation is<br />

to take effect provided that it shall give notice in writing to that effect to the Company<br />

Secretary on or before the 31st December preceding the end of such Season.<br />

B.9. Any Director of a Club giving notice under the provisions of Rule B.8 who<br />

represents the League on the Council of the Football Association shall vacate that<br />

office forthwith upon the giving of the notice.<br />
