This is one <strong>of</strong> the few cases where the <strong>Insolvency</strong> Law allows some form <strong>of</strong><br />
netting (cfr. 15.o).<br />
5. Repurchase Agreements 36<br />
A repurchase agreement is a contract under which the reseller acquires negotiable<br />
instruments in exchange for an amount <strong>of</strong> money, and undertakes to re-transfer to<br />
the repurchaser an equal amount <strong>of</strong> the same kind <strong>of</strong> negotiable instruments upon<br />
the agreed-upon terms and against the reimbursement <strong>of</strong> the same price, plus a<br />
premium [LGTOC 259].<br />
A repurchaser may liquidate or abandon the repurchase agreement. If the<br />
repurchaser liquidates the repurchase agreement, it shall re-acquire the negotiable<br />
instruments against payment <strong>of</strong> the price, plus a premium. If the repurchaser<br />
abandons the repurchase agreement, the repurchaser will not be bound to<br />
repurchase the negotiable instruments but must pay the differences against<br />
repurchaser (i.e., the difference between the market value <strong>of</strong> the negotiable<br />
instruments and the repurchase price, plus the premium) [LGTOC 266].<br />
The declaration <strong>of</strong> concurso shall terminate all repurchase agreements entered into<br />
by the debtor and repurchaser loses its ability to choose between liquidating or<br />
abandoning the repurchase agreement [LCM 102].<br />
In the case where the debtor acted as the reseller, the repurchase agreement<br />
must be liquidated. That is, the debtor/reseller shall transfer to the repurchaser the<br />
negotiable instruments, and the repurchaser must pay the repurchase price, plus<br />
the premium [LCM 102-I].<br />
The repurchase agreement shall be deemed abandoned in the case where the debtor<br />
acted as the repurchaser. That is, the repurchaser will not be bound to repurchase<br />
