10. Copy of letter dated 5 th June 2008 received from the tax consultants M/s.<br />
Subbaraya Aiyar Padmanabhan & Ramamani, advising the Company on<br />
the tax benefits available to the Company and the Equity Shareholders.<br />
11. Board Resolutions dated 23.3.2008 and 7.5.2008 for appointment of<br />
Whole-time Director.<br />
12. SEBI letter No.CFD/DIL/PB/AC/136928/2008 dated 5 th September 2008,<br />
granting relaxation from the applicability of Rule 19(2)(b) of the Securities<br />
Contract Regulation (Rules) 1957 for listing of Equity Shares.<br />
No statement made in the Information Memorandum contravenes any of the<br />
applicable provisions of the Act and the rules made thereunder. All the applicable<br />
legal requirements connected with the issue of Equity Shares in terms of the Scheme<br />
as also the guidelines, instructions etc., if any, issued by SEBI, government and any<br />
other competent authority in this behalf have been duly complied with.<br />
