GENERAL TERMS OF SALES AND CONDITIONS OF CONTRACT<br />
All services or analyses will be done exclusively due to the following general terms of sales and conditions<br />
of contracts – if not otherwise agreed.<br />
Prices<br />
The rates in the pricelist do not include the statutory value-added tax.<br />
Price reductions for sample series or long-term contracts will be arranged with the customer for special<br />
agreements. Express services will be charged by a surcharge of 50%. There will be an extra charge for special<br />
sample treatments.<br />
Prices are subject to change without notice – except for written short-term offers.<br />
Delivery dates<br />
Delivery dates for standard analyses are usually 8-10 working days, for express analyses 1-5 working days.<br />
The indication of delivery date is not guaranteed. The delivery date starts after receiving the sample and clarification<br />
of all relevant information.<br />
We shall not be liable to the customer for any delays in performance or any non-performance of its obligations<br />
as a result of causes beyond its control (which for the avoidance of doubts shall include, but not be<br />
limited to, acts of God, strike, lock-out, government order, non-availability of equipment or parts, power or<br />
other utilities failures etc.) and also if they affect our suppliers or subcontractors.<br />
Claim for damages due to noncompliance of a delivery date will be excluded in either case.<br />
Terms of payment<br />
Payment of all invoices is due strictly within 30 days of the invoice date.<br />
Methodology<br />
The customer can not demand any analyses instructions. Details of the uncertainty of measurement for the<br />
parameters will be provided on request.<br />
Liability<br />
For the results of analyses as well as eventually resulting damages, the liability will be expressly excluded<br />
(within the legal requirements), also those for auxiliary persons.<br />
A special risk (e.g. explosive, toxic, carcinogenic etc.) of materials send for analyses has to be labeled as<br />
well as written in the order-form. Otherwise the client will be responsible for damage to persons or property<br />
resulting thereof.<br />
Samples and archival storage<br />
Volume and kind of service are in accordance to the written request.<br />
The requester is responsible for the property and conditions of the delivered samples.<br />
Rest of non perishable samples will be stored for 3 months, perishable samples will be stored for 5 working<br />
days. Data of analyses will be retained for 5 years.<br />
Duty of confidentiality<br />
Results of analyses and information regarding product and customer will be treated as strictly confidential.<br />
Without the written permission of the customer, certificates of analyses will neither be sent by internet nor to<br />
third parties.<br />
Cancellation<br />
A cancellation of an analyses request has to be done in written form by the requestor. The requester will be<br />
charged according to current rates for the efforts and working time until the cancellation.<br />
Placing of sub-orders<br />
The contractor is authorised to perform services by third parties. If necessary due to QA-regulations or<br />
certification guidelines, the transfer to third parties will be carried out after consulting the client.<br />
Customer feedback<br />
Customer feedback will be registered and handled within our quality management system.<br />
Place of jurisdiction and applicable law<br />
The Swiss law will be exclusively adopted. Place of jurisdiction is exclusively the domicile of the contractor.
