This indeed is more relevant in today’s environment
full of temptations than ever before. Over the years
the profile of our profession has witnessed expanding
trend with each development in corporate and regulatory
environment.
A distinguishing characteristic of a profession is the
ability to combine ethical standards with the performance
of technical skills. The professionals being exclusive
custodian of expertise need to posses high
ethical and moral value, and to redeem their noble
traditions. A dynamic movement is therefore desired
to promote a value revolution with deeper conviction
and creative consciousness, leading the members to
be good professional citizens.
To achieve this level of distinction the need for a proactive
approach, vigil on changing paradigm and,
above all, adherence to highest standards cannot be
overstated. It becomes all the more important in the
present environment where short cuts always look
rewarding. It is, therefore imperative for all of us to
keep updated ourselves and perform our duties / our
functions that meet technical standards and expectations.

(Vice – Chairperson) had an opportunity to interact
with Chairman of NIRC and Chairman of other Chapters
under the jurisdiction of NIRC in a meeting organized

Chapters were represented by their Chairperson/Office
Bearers. The Commitment & participation from the
Chapters was very encouraging.
In meeting specially for Faridabad Chapter two challenges
were posed out namely Implementation of ERP
System in our Chapter and Construction of Chapter
Building as early as possible.
You will be pleased to know that Mr. Shri Prakash, Assistant
Director (Finance) H. Q. had visited the Chapter and
imparted necessary training to our staff.
Progress in Building Construction Project
On 29th February, 2012 myself and Chapter Secretary
Mr. N.K. Goel met architect Mr. Munish Gupta appointed
for Chapter Building project and discussed the progress.
He informed that the work is held up in want of approved
Zoning Plan from HUDA, Faridabad. We took up the
matter with concerned officials of HUDA Faridabad and
we have been informed that the file is now with Administrator
HUDA for clearance. Thereafter it will be sent to
DTP Chandigarh for final clearance.
We are constantly following up the matter and hoping
that the Building Construction work shall start soon.
CS Result announcement on 25 February, 2012
I take this opportunity to convey my heartiest congratulation
to the students who achieved success in the December,
2011 CS Examination. My special appreciation goes
to the girl students who have performed better in all
three stages of the examination viz. Foundation, Executive
and Professional.
On 25 February, 2012 itself, the day when the result was
declared, we organized a celebration party for successful
students and honored the students of Faridabad Chapter.
We are also publishing elsewhere in this newsletter
the profile of Faridabad Toppers in appreciation of their
hard work and in recognition of their achievement.
I would like to advice the unsuccessful students not to
give up hope or get disheartened or discouraged, It is a
truth that our loss in faith weakens our inner person and
it also weakens our energy to respond to a given situation.
But hope gives strength to us. I would advise you all

to revitalize your hope through self-introspection and by
a rational analysis of your strengths, weakness’, opportunities
and threats. Prepare well for the next examination.
CSBF Membership
The Company Secretaries Benevolent Fund is a collegial
initiative to financially support our brethren in times of
distress. In recent past, some of our members have died
leaving behind the spouse and minor children. In some
cases providing adequate financial assistance to the bereaved
family become an impediment. I, therefore, appeal
those of you who have not become the member of
the Fund to join the Fund as the life members.
New Financial Year 2012-13
By the time this issue of the newsletter reaches you,
most of you would be giving final touches to your plan
and strategies for the year end closing and planning for
the next financial year.

When the first Finance Minister of India, Shri R.K. Shanmukha
Chetty, presented the first budget of the country
soon after independence, on 26th November, 1947, he
was conscious of the responsibilities that face(d) the
custodian of the finances of India at this (that) critical
juncture. He, therefore, was fully conscious of the fact
that any policy of stabilization must aim not merely at the
increase of production of both consumer and producer
goods but also at the pegging of money incomes at an
agreed and accepted level so that the increased volume
of trading resulting from the increase of production may
neutralize the inflationary effects of the large volume of
uncovered money income. For him, if a policy was to be
carried out successfully, it would require as appreciation
of the situation by labour and its wholehearted cooperation.
Now when the present Finance Minister of India Shri
Pranab Mukherjee presented the Budget 2012-2013,
amidst uncertainties and rapid changes added with opportunities
and challenges and economy back to its precrises
growth trajectory. Though not much changes have

been brought in by this budget but the emphasis on efforts
for manufacturing sector and infrastructure development
clearly indicates the intention of Government to
create healthy growth environment in the Country. We
must congratulate the Hon’ble Finance Minister for keeping
a balanced approach.
To have detailed understanding and deliberation to understand
the intricacies and complexity involved in the
Budget 2012-13. We have conducted a Budget Seminar
on 18 th March, 2012 at DAV Institute of Management,
Faridabad. Where in more than 50 members and Students
were present.
Examination Result
Result of the Company Secretaries Examination held in
December, 2011 have been declared. I would like to congratulate
all students who have passed the CS examination
including the Toppers of Faridabad Chapter of all
streams namely, Foundation, Executive, and Professional
Program. I wish all of them a very bright future. I
would also like to communicate those who could not succeed
that there is always a second time and preservation
always pays. Perks up and try again- you will succeed
eventually.
The last decade witnessed a spurt in the number of female
candidates enrolling for the CS course. The percentage
of women qualifying Company Secretaries has
also been steadily increasing over the years.I hope the
success of female candidates in the CS examination
would encourage more and more women to take up the
CS course. I am sure that they will continue to do well in
their onwards professional journey and achieve
“empowerment” in its sense.
You will feel happy to know that Ms. Sweety Chaudhary
from your own Chapter has stood 3 rd on All India basis in
the Professional examination held in December, 2011.
We had an exclusive interview with her which is being
published elsewhere in this newsletter.
On Budget Seminar day i.e. on 18 th March, 2012, the
Chapter felicitated the first three toppers of all streams of
CS students namely Foundation, Executive and Profes-

are being published elsewhere in this newsletter.

In line with our desire to improve the knowledge of its
Members, the Chapter shall be organizing Study Circle

We are continuously following up with HUDA Faridabad
Authorities to approve the Zoning Plan of the proposed
Building of the Chapter. We are hopeful that we shall
start the construction work on Chapter Building soon.
In the last I, humbly appeal to all the Members and Students
to interact with the Chapter more often and provide
your valuable feedback for betterment of services. I assure
you that we will do whatever best is possible in the
circumstances.

Interview of Ms. Sweety Chaudhary All India 3 rd Rank in Professional Program

A set of questions were asked to Sweety Chaudhary,
the third rank holder of CS Professional Examination –
December 2011. The questions & their responses are
appended below.
Q. How do you feel being third rank holder in CS
Professional Examination? How do you visualize
your success?
A. I was feeling very excited to see my result. I was
quite sure about that I would be able to clear all papers
in single attempt but was not expecting rank.
Those days I was attending EDP (Executive Development
Programme) & one of my EDP friends only
told me that I have got the rank, Thereafter all my
EDP Friends & faculty of that day stood up and
clapped for me, and that was an overwhelming moment
for me.
When I saw my merit, it was like as if my dream has
come true. I was on the top. Excitement of this
achievement was mingled with a huge sense of relief.
I visualize this success as a beginning. This success
inspires me to do justice with this profession
that has given me this recognition.
Q. How did you prepare for the examination?
A. I had prepared schedule for my study timings in the
month of April 2011 incorporating & allocation
therein, around 6-7 hours of dedicated effort towards
study per day. I have never compromised
with my schedule. By the end of September 2011 I
had been through with all eight subjects once & then
started with revision. I gave special attention to
presentation of answers in both theory and practical
papers.
Q. Please tell us about the contribution of study
materials, student’s bulletin, suggested answers
& various test papers in your success.
A. For most of the subjects, I referred study material
provided by the institute & for rest other subjects;
I referred the reference books along with study
material. Student’s bulletin helped me a lot in updating
my knowledge not just for passing the exams
but to update w.r.t changing scenario.
As far as referring suggested answers & various
test papers are concerned I could devote just 10-
12 days that too before the exams to analyze
where exactly I do stand.
Q. How have your family members have contributed
to your success?
A. I would only state that this dream would not have
been truly possible without their support & the
trust/confidence they have shown on me. Being a
science graduate, I was terrified somewhere but
my parents kept me motivated to develop “can do
personality”
Q. And finally what advice you would like to give
to the other CS Students?
A. Firstly would like to state that CS Course is neither
too hard nor too easy. Few of the tips are:-
Respect the time
Be attentive if taking coaching classes &
grasp laws properly
Be dedicated & diligent towards study
Be passionate towards learning
I wish all CS Students very best of luck for their
future.

These decisions create problems and obstacles in the
way of our endeavors.
Effective ways to make life a real bliss
Smile as it invites happiness and make your health
bliss
Take a healthy breakfast and affirm yourself that you
are gaining energy and viability by the food intake
Recall your positive traits before moving out from
house. This would imbibe confidence in you enable
you to perform better
During working hours in office, get fully involved in
your work and get the best result
Create a healthy environment in the office by health
mutual coordination and understanding attitude. It
would further help in your work flow.
During grim or adverse situations, take an overview
of the entire scenario and then react accordingly.
This helps to take the right decisions and so help to
come out beautifully
After reaching home, involve yourself with family and
enjoy. Forget about the professional life so that your
stress gets relieved
Make friends and spend leisure and fruitful time with
them
Accept challenging situations in life with a bold and
courageous approach. Your strong inner self helps
you to face these situations boldly
Wisely spend money so that you can save something
for the rainy day
Recall your possessions like physical health, mental
health, sound education, moral support, financial independence
to morally boost yourself
Connect to nature to revitalize your entire self. This
would elevate your mood and bring your mind to a
blissful state.
Remember: You need to inculcate a right outlook
in life and enjoy the life.

WOMEN TOUCHING THE HEIGHTS OF SUC-
CESS…..
Women have to face a lot of unavoidable and irresistible
constraints at workplace. Some of their choices have
not come without disappointment. She is a Woman! Distinctions
are always made between male candidates
and female candidates at workplace. The first thing one
notices about a woman employee is that ’she is a
woman. It takes a long time for them to succeed and
get promoted. Women are generally paid low in comparison
to male colleagues, in spite of possessing same
skills and qualification. Another problem is that women
face greater difficulties when trying to balance work and
family.
However, the trend is changing in recent years. The Indian
women are no longer treated as show pieces to be
kept at home. They are also enjoying the impact of
globalization and making an influence not only on domestic
but also on international sphere. Women are doing
a wonderful job striking a balance between their
house and career.
I append below the success story of some of the
successful “Business Women” of India:-
Indra Krishnamurthy Nooyi,
Chairman and Chief Executive
Officer of PepsiCo
Ms. Indra Krishnamurthy Nooyi was
born on 28 October 1955 in Madras,
now Chennai. She has done her
graduation from Madras Christian
College (MCC) in Chemistry, Physics and Maths. On
completion of her graduation she went to Indian Insti-

tute of Management in Calcutta for doing Masters in
Finance and Marketing. Soon after completion of her
MBA, she joined ABB and then Johnson and Johnson
(J&J) in Mumbai.
She completed her Master’s in Public and Private
Management form Yale Management School in US.
According to Forbes, she is consistently ranked
among World's 100 Most Powerful Women.
Nooyi joined PepsiCo in 1994 and was named president
and CFO in 2001. Nooyi has directed the company's
global strategy for more than a decade and led
PepsiCo's restructuring, including the 1997 divestiture
of its restaurants into Tricon, now known as Yum!
Brands. Nooyi also took the lead in the acquisition of
Tropicana in 1998 and merger with Quaker Oats
Company, which also brought Gatorade to PepsiCo.
In 2007 she became the fifth CEO in PepsiCo's 44year
history.
Chanda D. Kochhar; Managing
Director and Chief Executive Officer
of ICICI Bank Limited.
Ms. Chanda Kochhar was born on
17 th November 1961 in Jodhpur, Rajasthan.
She moved to Mumbai later
on and joined Jai Hind College and obtained Bachelor
of Arts degree. Then she pursued her Cost Accountancy
course at ICWAI and acquired Masters’ Degree
in Management Studies at Jamnalal Bajaj Institute of
Management Studies, Mumbai. She got the Wockhardt
Gold Medal for Excellence in Management
Studies and J. N. Bose Gold Medal for highest marks
in Cost Accountancy.
Ms. Kochhar began her career with ICICI as a Management
Trainee in 1984 and has thereon successfully
risen through the ranks by handling multidimensional
assignments and heading all the major functions
in the Bank at various points in time. She has
been Head of International Banking arm of ICICI Bank
Ltd. since October 2006. Ms. Kochhar is the Managing
Director and Chief Executive officer of ICICI Bank.
This is the second largest bank in India and largest

private bank of the country. She is the head of the
Corporate Centre of ICICI Bank.
Dr. Kiran Mazumdar-Shaw, Chairman
& Managing Director of Biocon
Ltd.,
Dr. Kiran Mazumdar- Shaw became
India’s richest woman in
2004, was educated at the Bishop
Cotton Girls School and Mount Carmel College in
Bangalore. She founded Biocon India with a capital
of Rs.10, 000 in her garage in 1978 – the initial operation
was to extract an enzyme from papaya. Her
application for loans were turned down by banks
then – on three counts:-
biotechnology was then a new word,
the company lacked assets,
women entrepreneurs were still a uncommonness.
Today, her company is the biggest biopharmaceutical
firm in the country.

Ms. Naina Lal Kidwai, was the
first Indian woman to graduate
from Harvard Business School.

wai among the worlds top 50 Corporate Women from
2000 to 2003. According to the Economic times, she is
the first woman to head the operations of a foreign bank
in India. ( HSBC).
Ranjana Kumar; Vigilance Commissioner
in Central Vigilance Commission
Ms. Ranjana Kumar is currently the
Vigilance Commissioner in Central Vigilance
Commission, after her retirement
as the Chairperson of NABARD- National Bank for Agricultural
and Rural Development, is a prominent Indian
Banker. When the Government of India appointed her as
the Chairperson and Managing Director of The Indian
Bank, she became the first woman to become head of a
public sector bank in India. At that time of her appointment,
the Indian Bank was saddled with huge losses and
during her tenure, she ensured the turn around of The
Indian Bank.
CONCLUSION:-
Women like these are an inspiration for all other
women who strive to achieve great heights in their
lives. Taking them as our role models each one of us
can be there where they are right now. All we need
have is faith in ourselves, confidence and above all a
fixed aim that we need work towards.

well in advance. All the Members and Students

Appeal CSBF
In recent past, some of our members have died leaving behind
the spouse and minor children. In some cases providing
financial assistance to the bereaved family becomes an impediment.
Although the management committee of CSBF
wanted to help the bereaved family members but it was constrained
to do so in view of financial position of the fund. At
present around 8000 members are the members of the CSBF.
The fund can provide the much needed financial assistance in
such cases if the corpus of the fund increases substantially
which is possible if more number of members are enrolled to
the fund.
The members in all earnestness are therefore sincerely requested
to become the members of the CSBF by paying one
time Life membership fee of Rs. 5000/- (being increased to
Rs. 7500/- w.e.f. 1 st April 2012.)
The payments made to the fund are exempted under Section
80G of the Income Tax Act, 1961.
The members have to just fill up Form-A (available on the
website of the Institute, i.e. www.icsi.edu ) and send the same
along with a cheque for Rs. 5,000 favoring “Company Secretaries
Benevolent Fund” payable at New Delhi to NIRC Office.

Admission to Company Secretaries (CS) Foundation Programme
is on. 10+2 pass/ appearing students seeking

pursue the CS FOUNDATION PROGRAMME conducted
by the Institute of Company Secretaries of India (ICSI).

The Institute of Company Secretaries of India is a
premier National professional Bod established under
an Act of Parliament (The Company Secretaries
Act, 1980) and imparts compulsory Postal Tuition (by
correspondence) alongwith provision for optional

CS Foundation Programme, students are required to
clear the Executive and Professional Programme

Whirlpool, Goodyear, Larsen & Toubro, Asia Brown Boveri,
GKN Invel, Woodward Governer, Castrol besides Escorts,
Eicher, Cutler Hammer, Hyderabad Asbestos, Nuchem,
JBM Auto are operating in this belt.
A variety of engineering products from Forgings to Tractors,
Clutch Assembly to Leaf Springs are being manufactured
by the industries in this belt. The total land occupied by the

because of the continous support which it gets from its
members.
Haryana Government has decided to go ahead with the setting
up of new Industrial Model Township (IMT) at Faridabad.
Based on the global model for an industrial hub, this
township will integrate industrial, commercial, residential
and institutional sites for operational convenience and promoting
walk-to-work-culture.
The industrial township at Faridabad will be developed in
Sectors 66, 67, 68 and 69 of the Final Development Plan of
Faridabad. Land admeasuring 1832 acres has been notified
for acquisition under Section 4 of Land Acquisition Act.
We see a bright future for Faridabad City and is likely
to come up as a prominent industrial hub.

On 25.02.2012 Faridabad Chapter organized a cele-
bration party with the students who have appeared in
December, 2011 session examination of the ICSI and
got declared passed. The Chapter further felicitated
meritorious students of Foundation, Executive and
Professional Level. The Chapter Chairman CS Vineet
Sikka, Vice Chairperson CS Rajni Aggarwal and Sec-
retary CS Naresh Kumar Goel congratulate all the stu-
dents present on the occasion. The Party was organ-
ized at NIAM (National Institute of Applied Manage-
ment) situated at 20/1, Old Sher Shah Suri Marg, Opp.
Sector – 37, Faridabad from 6:00 PM to 8:00 PM.
All the successful students received “Medals as well
as Certificate of Merit” from Management Committee
Members. The same was followed by dinner. All the
students as well as Team Faridabad enjoyed the event

On 18.03.2012 Faridabad Chapter of
Northern India Regional Council of Institute
of Company Secretaries of India organized
Felicitation Ceremony for its Toppers

At the beginning of the program, Toppers
of Faridabad were felicitated in Seminar

Mr. N.K. Goel, Secretary of the Chapter introduced
the Topic and Speaker of second session
on “Direct Taxation” Mr. Anil Sharma. He
delivered his presentation on Direct Tax provisions
in the budget. He appreciated Hon’ble
Finance Minister for maintaining the balance.In
his opinion, Hon’ble Finance Minister has
adopted a very balanced approach because on
one hand he has increased the Slab rates and
on the other hand he has increased the other
taxes in the budget.
Chapter Chairman Mr. Vinit Sikka introduced
the speaker Mr. Rajesh Chibber.
He gave excellent deliberation on
“Indirect Taxes and Service Tax” The
delegates found the presentation very
useful and informative. Mr. Chibber
focused on the very important aspects
of the Indirect taxes and Service tax
provision in the Budget 2012-13
