similar <strong>in</strong>stitutions. Depend<strong>in</strong>g on the demand for hospital beds, there may be
direct competition with general hospitals, although the Company's nurs<strong>in</strong>g homes
are <strong>in</strong>tended to supplement hospital care rather than to compete directly with
hospitals.

For more than the past five years James M. Bre<strong>in</strong>er has been the Chairman
of the Board of The First Connecticut Small Bus<strong>in</strong>ess Investment Company,
Bridgeport, Connecticut.
Samuel A. Klurmnan's pr<strong>in</strong>cipal occupation s<strong>in</strong>ce the organization of the
Company <strong>in</strong> October 1964 has been to act as its President and pr<strong>in</strong>cipal executive
officer. From April 1, 1963 to October 1964, he was a private <strong>in</strong>vestor.
S<strong>in</strong>ce May 1966 Homer W. Cumm<strong>in</strong>gham has been the President of Liberty
House Nurs<strong>in</strong>g Home of Virg<strong>in</strong>ia Beach, Inc. and the Manager of Liberty House
of Virg<strong>in</strong>ia Beach. Prior to that time he was the President and pr<strong>in</strong>cipal stockholder
of H. W. Cunn<strong>in</strong>gham & Associates, Inc., a corporation engaged <strong>in</strong> the real
estate bus<strong>in</strong>ess <strong>in</strong> Virg<strong>in</strong>ia Beach, Virg<strong>in</strong>ia, where he was also the President of
the Virg<strong>in</strong>ia Beach Board of Realtors <strong>in</strong> 1962. He is now the Treasurer of the
Virg<strong>in</strong>ia Nurs<strong>in</strong>g Home Association.
S<strong>in</strong>ce August 1963 Jerome Goldman has been a member of the law firm of
Burste<strong>in</strong> & Goldman, Bridgeport, Connecticut, who are counsel for The First
Connecticut Small Bus<strong>in</strong>ess Investment Company and have also acted as counsel
for Mfedic-Home Developers Inc. Prior to that date Mr. Goldman was an associate
attorney with the predecessor law firm.
For the past twenty-five years Bernard Bergman has been pr<strong>in</strong>cipally engaged
<strong>in</strong> the nurs<strong>in</strong>g home field, has developed and owned numerous nurs<strong>in</strong>g homes and
presently owns <strong>in</strong>terests <strong>in</strong> nurs<strong>in</strong>g homes <strong>in</strong> New York, New Jersey and Florida
and <strong>in</strong> various real estate ventures.
For more than the past five years Charles Bick has been a Senior Partner
<strong>in</strong> the account<strong>in</strong>g firm of Zemlock, Levy & Bick, 160 Broadway, New York, N.Y.
For more than the past five years, David Engelson has been the President of
The First Connecticut Small Bus<strong>in</strong>ess Investment Company, Bridgeport,
Connecticut.
For more than the past five years Professor Lander has been Professor of
Sociology at Hunter College and the director of the Bernard Revel Graduate
School of Yeshiva University. He has also been a member of the Advisory
Council on Public Assistance under President Eisenhower and a member of advisory
committees on poverty and ag<strong>in</strong>g under President Kennedy and President
Johnson.
William J. Lemon's pr<strong>in</strong>cipal occupation for more than the past five years
has been that of a member of the law firm of Mart<strong>in</strong>. Hopk<strong>in</strong>s and Lemon,
Roanoke, Virg<strong>in</strong>ia. In addition, he is the President of Liberty Nurs<strong>in</strong>g Homes,
Incorporated which operates Liberty House of Roanoke, Virg<strong>in</strong>ia and Liberty
House of Lynchburg, Virg<strong>in</strong>ia.
For more than the past five years Peter Stassa. Jr. has been Vice President
of The Fairfield County Trust Company. Stamford, Connecticut, <strong>in</strong> its office
<strong>in</strong> Danbury, Connecticut. He is a member of the Danbury Economic Development
Commission and the Danbury Redevelopment Commission.
It is expected that Stuart M. Ber<strong>in</strong>ger and John W. Hurley. designees of
Blair & Co., Inc.. the Representative of the several Underwriters, will be elected
to the Board of Directors of the Company upon completion of the offer<strong>in</strong>g. Messrs.
