The cost of the sale was $246,000, so that this lease positi<strong>on</strong> here is<br />

nowv <str<strong>on</strong>g>in</str<strong>on</strong>g> the hands of a third party who has no relati<strong>on</strong> as far as any<strong>on</strong>e<br />

can tell, with any of the other people <str<strong>on</strong>g>in</str<strong>on</strong>g>volved <str<strong>on</strong>g>in</str<strong>on</strong>g> this transfer.<br />

Now, what happenecd, the bottom result of all of this, is that this<br />

lease amount, this rent that was agreed up<strong>on</strong> here, at the time when<br />

this mortgage was $1.3 milli<strong>on</strong>, and over, or nearly $1 milli<strong>on</strong> of it was<br />

f rom Bergman companies to Bergman companies, this lease was<br />

entered <str<strong>on</strong>g>in</str<strong>on</strong>g>to with these people.<br />

This is the cost which is nowv be<str<strong>on</strong>g>in</str<strong>on</strong>g>g reimbursed by the State. This<br />

cost has then been broken down as a per-bed figure.<br />

* Now, the <str<strong>on</strong>g>in</str<strong>on</strong>g>terest<str<strong>on</strong>g>in</str<strong>on</strong>g>g part of this is that the per-bed figure was based<br />

<strong>on</strong> the occuDancy at that time, which is 250 beds.<br />

However, the State department of health has recently, I believe it<br />

has g<strong>on</strong>e through with the proceed<str<strong>on</strong>g>in</str<strong>on</strong>g>gs, they were mov<str<strong>on</strong>g>in</str<strong>on</strong>g>g to disallow<br />

57 of the beds. to decertify 57 of the beds <str<strong>on</strong>g>in</str<strong>on</strong>g> the <str<strong>on</strong>g>in</str<strong>on</strong>g>stituti<strong>on</strong>, and thereby<br />

reduc<str<strong>on</strong>g>in</str<strong>on</strong>g>g the cost of the rental, so what they are say<str<strong>on</strong>g>in</str<strong>on</strong>g>g, accord<str<strong>on</strong>g>in</str<strong>on</strong>g>g<br />

to the averages for the area, even though that this lease amount was<br />

corrected, because the <str<strong>on</strong>g>in</str<strong>on</strong>g>stituti<strong>on</strong> had 210 beds, the <str<strong>on</strong>g>in</str<strong>on</strong>g>stituti<strong>on</strong> never<br />

should have had that many beds, and that the rent has to be reduced.<br />

These people went to the State department of health, and said that<br />

because of this sale, vou would drive the bus<str<strong>on</strong>g>in</str<strong>on</strong>g>ess out of existence, and<br />

you would bankrupt the <str<strong>on</strong>g>in</str<strong>on</strong>g>stituti<strong>on</strong>.<br />

To the best of my knowledge, no f<str<strong>on</strong>g>in</str<strong>on</strong>g>al decisi<strong>on</strong> has come as to<br />

whether the rent should be reduced or not, but it shows the entire flow.<br />

it shows the fallacy of these rents, at least the rents <str<strong>on</strong>g>in</str<strong>on</strong>g> this <str<strong>on</strong>g>in</str<strong>on</strong>g>stance,<br />

because the <str<strong>on</strong>g>in</str<strong>on</strong>g>stituti<strong>on</strong> never should have had 210 beds <str<strong>on</strong>g>in</str<strong>on</strong>g> it.<br />

Of the 210 beds, 205 are <str<strong>on</strong>g>in</str<strong>on</strong>g> rooms with three or four or more patients.<br />

There are <strong>on</strong>ly five patients that are <str<strong>on</strong>g>in</str<strong>on</strong>g> either semiprivate or <str<strong>on</strong>g>in</str<strong>on</strong>g> private<br />

rooms, so here we have an overcrowded <str<strong>on</strong>g>in</str<strong>on</strong>g>stituti<strong>on</strong>, that physically<br />

should not have had 210 beds <str<strong>on</strong>g>in</str<strong>on</strong>g> it, the State department recognized<br />

they should not have had that many beds <str<strong>on</strong>g>in</str<strong>on</strong>g> it, but they were reimbursed<br />

based <strong>on</strong> hav<str<strong>on</strong>g>in</str<strong>on</strong>g>g that number of beds, and sure enough the rent<br />

that was approved was sufficient to meet that ceil<str<strong>on</strong>g>in</str<strong>on</strong>g>g so, therefore, we<br />

have transacti<strong>on</strong>s, a clear problem of transacti<strong>on</strong>s prior to the <str<strong>on</strong>g>in</str<strong>on</strong>g>stituti<strong>on</strong><br />

of medicaid, which clearly affect the medicaid reimbursement formula,<br />

and distort it at least to this <strong>on</strong>e <str<strong>on</strong>g>in</str<strong>on</strong>g>stituti<strong>on</strong>.<br />

I would like to po<str<strong>on</strong>g>in</str<strong>on</strong>g>t out <strong>on</strong>e fact, that all of these documents, all<br />

of these th<str<strong>on</strong>g>in</str<strong>on</strong>g>gs we have here, are th<str<strong>on</strong>g>in</str<strong>on</strong>g>gs that are <str<strong>on</strong>g>in</str<strong>on</strong>g>formati<strong>on</strong> that we<br />

have collected from title searches, which were filed <str<strong>on</strong>g>in</str<strong>on</strong>g> the county clerk's<br />

office.<br />

These are all public documents, but the State department of health<br />

does not have the time nor the facilities to go out and do a l<strong>on</strong>g title<br />

search like this, nor do they. accord<str<strong>on</strong>g>in</str<strong>on</strong>g>g to their rules and regulati<strong>on</strong>s,<br />

care of what happened back here.<br />

We care, because the commissi<strong>on</strong> believes that these are the costs that<br />

have really <str<strong>on</strong>g>in</str<strong>on</strong>g>flated part of this medicaid program, the costs <str<strong>on</strong>g>in</str<strong>on</strong>g> the system,<br />

and have skewed the real estate costs, and have allowed certa<str<strong>on</strong>g>in</str<strong>on</strong>g><br />

real estate ventures to dom<str<strong>on</strong>g>in</str<strong>on</strong>g>ate the <str<strong>on</strong>g>in</str<strong>on</strong>g>dustry.<br />

It is clear all of these transacti<strong>on</strong>s occurred before medicaid, and<br />

afterward they rode al<strong>on</strong>g with the way the system was work<str<strong>on</strong>g>in</str<strong>on</strong>g>g.<br />
