Bond proceedings means collecfively this Ordinance the Bond Registrar Agreement the Bond Purchase Agreement the Certificate ofAward the Continuing Disclosure Agreement the Escrow Agreement and such other proceedings of the City including the Bonds that provide collectively for among other things the rights ofowners and beneficial owners ofthe Bonds Bond Purchase Agreement means the Bond Purchase Agreement between the City and the Original Purchaser Bond Register means all books and records necessary for the registration exchange and transferofthe Bonds as provided in this Ordinance and the Bond Registrar Agreement Bond Registrar menus The Huntington National Bank as the initial authenticating agent bond registrar transfer agent and paying agent for the Bonds under the Bond Registrar Agreement and until a successor Bond Registraz shall have become such pursuant to theprovisions ofthe Bond Registrar Agreement and thereafter Bond Registrar shall mean the successor Bond Registrar Bond Registrar Agreement means the Bond Registraz Agreement between the City and the Bond Registrar Bonds means the bonds authorized in Section 2 Book entry form or book entry system means a form or system under which a the ownership of book entry interests in Bonds and the principal ofand interest on the Bonds may be transferred only through abook entry and b physical Bond certificates in fully registered form are issued by the City only to a Depository or its nominee as registered owner with the Bonds immobilized in the custodyofthe Depository or its designated agent The book entry maintained by others than the City is therecord that identifies theowners ofbook entry interests in those Bonds and that principal and interest Certificate ofAward means the Certificate ofAwazd authorized by this Ordinance to be signed by the Director ofFinance Charter means theCharter ofthe City City means the City ofLakewood Ohio Clerkmeans the ClerkofCouncil Closing Date means the date of physical delivery of and payment ofthe purchase price forthe Bonds Code means the Internal Revenue Code of 1986 the Regulations whether temporary or final under that Code or the statutory predecessor of that Code and any amendments of or successor provisions to the foregoing and any official rulings announcements notices procedures and judicial determinations regarding any of the foregoing all as and to the extent applicable 2
Unless otherwise indicated reference to a Section of the Code includes any applicable successor section or provision and such applicable Treasury Regulations rulings announcements notices procedures and determinations pertinent to that Section Confinuing Disclosure Agreement means collectively the Continuing Disclosure Certificate and the agreements ofthe City set forth in Section 9c ofthis Ordinance Continuing Disclosure Certificate means the Continuing Disclosure Certificate authorized by this Ordinance County Fiscal Officer means the fiscal officer oftheCounty ofCuyahoga Ohio presently the CountyAuditor and beginning January 1 2011 the County Fiscal Officer Depository means any securities depository that is a clearing agency under federal law operating and maintaining with its Participants or otherwise a book entry system to record ownership ofbook entry interests in Bonds or the principal ofand interest on Bonds and to effect transfers of Bonds in book entry form and includes and means initially The Depository Trust Company a limited purposetrust companyNew York New York Trustee Director ofFinancemeans the Director ofFinance ofthe City Escrow Agreement means the Escrow Agreement between the City and the Escrow Escrow Fund means the escrow fund established pursuant to theEscrow Agreement Escrow Trustee meansUS BankNational Association Improvement means collectivelyi resurfacing City streets driveways and parking lotsii reconstructing a fuel tank bulkheadiii replacing traffic signals iv improving parks v constructing and reconstructing streets and sidewalks vi reconstructing renovating and improving City buildings vii implementing reforestation programs and viii improving the Lakewood Park Shoreline Interest Payment Dates means June 1 and December 1 of each year that the Bonds are outstanding commencing June 1 2011 Mandatory Sinking Fund Redemption means the schedule softhemandatoryredemption ofTerm Bonds setforth in the CertificateofAward Mandatory Sinking Fund Redempfion Dates means those Principal Payment Dates set forth in the Certificate ofAward on which a portion oftheprincipal amount ofthe Term Bonds are required tobe redeemed MSRB means theMunicipal Securifies Rulemaking Board established by theSEC 7
