Senior Management<br />

On February 9, 2010, we announced changes to our senior management team effective as of March 1, 2010. Fernando A.<br />

González was appointed Executive Vice President of Planning and Finance. We also announced the retirement of Héctor Medina,<br />

former Executive Vice President of Finance and Legal, and Armando J. García, former Executive Vice President of Technology,<br />

Energy and Sustainability. Mr. Medina and Mr. García each participated in an early retirement program for senior executives.<br />

Mr. García remains a member of CEMEX’s board of directors, on which he has served since 1983. As of December 31, 2010, the<br />

members of our senior management team and their positions were the following: Lorenzo H. Zambrano, Chief Executive Officer;<br />

Fernando A. Gonzalez, Executive Vice President of Planning and Finance; Francisco Garza, President of the Americas Region; Juan<br />

Romero Torres, President of the Europe, Middle East, Africa, Asia and Australia Region; Rodrigo Treviño, Chief Financial Officer;<br />

Ramiro G. Villarreal, General Counsel; and Rafael Garza, Chief Accounting Officer. On April 11, 2011, we announced new changes<br />

to our senior management team effective April 12, 2011. See “Item 5 — Operating and Financial Review and Prospects — Recent<br />

Developments — Recent Developments Relating to Changes in Our Senior Management Team.” Set forth below is the name and<br />

position of each member of our senior management team as of the date of this annual report. The terms of office of the senior<br />

managers are indefinite.<br />

Lorenzo H. Zambrano Treviño,<br />

Chief Executive Officer (67)<br />

Joined CEMEX in 1968. During his career with CEMEX, Mr. Zambrano has been<br />

involved in all operational aspects of our business. He held several positions in CEMEX<br />

prior to his appointment as Director of Operations in 1981. In 1985, Mr. Zambrano was<br />

appointed chief executive officer, and in 1995 he was elected chairman of the board of<br />

directors. Mr. Zambrano is a graduate of Instituto Tecnológico y de Estudios Superiores<br />

de Monterrey, A.C., or ITESM, with a degree in mechanical engineering and<br />

administration and has an M.B.A. from Stanford University.<br />

Mr. Zambrano has been a member of our board of directors since 1979 and chairman of<br />

our board of directors since 1995. He is a member of the board of directors of IBM and<br />

the international advisory board of Citigroup. He is also a member of the board of<br />

directors of Fomento Económico Mexicano, S.A.B. de C.V. Mr. Zambrano is chairman of<br />

the board of directors of Consejo de Enseñanza e Investigación Superior, A.C., which<br />

manages ITESM, and a member of the board of directors of Museo de Arte<br />

Contemporáneo de Monterrey A.C. (MARCO). Mr. Zambrano participated in the<br />

chairman’s Council of Daimler Chrysler AG until July 2005, was a member of the<br />

Stanford University’s Graduate School of Business Advisory Council until 2006, of the<br />

board of directors of Vitro, S.A.B. until 2007, of the board of directors of Alfa, S.A.B. de<br />

C.V. until 2008, of the board of directors of Grupo Televisa, S.A.B. and Grupo Financiero<br />

Banamex, S.A. de C.V. until April 2009 and of the board of directors of Fomento<br />

Económico Mexicano, S.A.B. de C.V. until 2011.<br />

In recognition of his business and philanthropic record, Mr. Zambrano has received<br />

several awards and recognitions, including the Woodrow Wilson Center’s Woodrow<br />

Wilson Award for Corporate Citizenship, the America’s Society Gold Medal<br />

Distinguished Service Award, and Stanford University’s Graduate School of Business<br />

Alumni Association’s Ernest C. Arbuckle Award.<br />
