Thursday, August 20, <strong>2009</strong>, 3:30pm, Founders Room, US Bank<br />

CALL TO ORDER<br />

In the absence <strong>of</strong> a quorum, Chair Brad Wilson called a meeting <strong>of</strong> the Executive Committee meeting to<br />

order at 3:32 PM, then adjourned to a Board Meeting at 3:55 PM, at which time a quorum was present.<br />

CONSENT CALENDAR<br />

The Board approved the consent calendar as presented. The consent calendar included the minutes <strong>of</strong> the<br />

July Board meeting <strong>and</strong> new member applications from the Right Angle <strong>and</strong> Paychex. Paychex, a<br />

national payroll service provider, will be providing the <strong>Chamber</strong> with complimentary payroll services in<br />

exchange for a membership.<br />

REPORT OF THE CHAIR: Chair Wilson reported that the SCICo Board has approved Master<br />

Enterprise projects estimated at $11 million. These projects include new activities (Sea-trek, zipline), the<br />

remodeling <strong>of</strong> Descanso Beach Club <strong>and</strong> Pavilion Lodge, <strong>and</strong> a new restaurant on the corner <strong>of</strong> Crescent<br />

<strong>and</strong> <strong>Catalina</strong>. There will be a Special meeting <strong>of</strong> the <strong>Chamber</strong> Board next Thursday, August 27 at<br />

3:30pm, at which time SCICo. will discuss these projects in detail. The <strong>Isl<strong>and</strong></strong> Company is also working<br />

with the City <strong>of</strong> Avalon to trade 10 acres <strong>of</strong> l<strong>and</strong> between Quail <strong>and</strong> Citrus Canyon for “Field <strong>of</strong><br />

Dreams” <strong>and</strong> Joe Machado Field. This new site will be developed into an athletic complex containing<br />

several athletic fields <strong>and</strong> room for a community swimming pool.<br />

APPROVAL OF FINANCIAL STATEMENTS: Financial statements for the period ending July<br />

<strong>2009</strong> were included in the Board packet. Monthly TOT payments to the <strong>Chamber</strong> from the City have<br />

decreased approximately $14K per month. The Board voted to approve the financial statements.<br />

RACK CARD DISTRIBUTION POLICY: Staff proposed a new policy to govern the display <strong>and</strong><br />

distribution <strong>of</strong> member materials at the Visitor Center on the Green Pleasure Pier (policy attached). The<br />

Board voted to approve the new policy.<br />

MEMBERSHIP RENEWALS: A report <strong>of</strong> member businesses that have not yet renewed their<br />

memberships was included in Board packet.


PRESIDENT’S REPORT: Mr. Griffin reported:<br />

• Visitor Counts: Cross-channel carrier visitor counts were down 11.4% in July. Cruise ship<br />

passengers were down 37.7%. Overall visitation was down <strong>17</strong>.8% for July <strong>and</strong> is down 5% for<br />

the year <strong>2009</strong>. Elaine Vaughan was asked for a report from <strong>Catalina</strong> Express, separating isl<strong>and</strong>er<br />

travel (subsidized commuter books) vs visitor travel. Elaine will attempt to report for the month<br />

<strong>of</strong> July.<br />

• The Cruise Ship Schedule has been updated on <strong>Chamber</strong> website. There are several changes <strong>and</strong><br />

different dates for visits over the next few months.<br />

• The <strong>Chamber</strong>, <strong>Catalina</strong> <strong>Isl<strong>and</strong></strong> Medical Center <strong>and</strong> <strong>Catalina</strong> Express have developed a plan to<br />

deal with media issues in the event <strong>of</strong> a swine flu outbreak on the isl<strong>and</strong>.<br />

• Preliminary results <strong>of</strong> the August <strong>2009</strong> Visitor Survey were reviewed. 149 results have been<br />

tabulated so far, out <strong>of</strong> approximately 500 total.<br />

REPORT OF THE MARKETING COMMITTEE: Elaine Vaughan reported:<br />

• Reviewed print advertising, internet advertising, phone calls <strong>and</strong> emails received, vacation<br />

planner distribution, 2010 Vacation Planner progress, Travel Trade Show Program activity, <strong>and</strong><br />

upcoming special events.<br />

REQUEST FOR FUTURE AGENDA ITEMS: I was suggested that Lt. Jeff Donahue, the new<br />

Comm<strong>and</strong>er <strong>of</strong> the Sheriff’s Dept. Avalon Station be invited to the <strong>September</strong> Board meeting.<br />

There being no further business to come before the Board, Chair Wilson adjourned the meeting at<br />

Staff Report: Change <strong>of</strong> time for Marketing Committee / Board <strong>of</strong> Directors Meetings<br />

Background: A new boat schedule was implemented by <strong>Catalina</strong> Express on <strong>September</strong> 8. Morning<br />

departures from Long Beach are now at 6:15 <strong>and</strong> 10:00 AM on weekdays. Afternoon departures from<br />

Avalon to Long Beach are now at 3:45 <strong>and</strong> 7:30 PM. Directors traveling from the mainl<strong>and</strong> to Avalon for<br />

monthly Marketing Committee <strong>and</strong> Board <strong>of</strong> Directors meetings have expressed that this schedule –<br />

especially not getting back to the mainl<strong>and</strong> until 8:30 PM after attending a Board meeting – has made it<br />

very difficult for them to attend meetings on a regular basis.<br />

Discussion: Moving the Marketing Committee <strong>and</strong> Board <strong>of</strong> Directors meetings to the following times<br />

would allow a director/committee member to take the 10:00 AM departure from Long beach <strong>and</strong> the 3:45<br />

PM departure from Avalon. Meetings would continue to last 1-1/2 hours:<br />

• 11:45 AM to 1:15 PM – Marketing Committee (bring your own lunch to the meeting, or<br />

<strong>Chamber</strong> can provide lunch <strong>and</strong> charge attendees)<br />

• 1:45 to 3:15 PM – Board <strong>of</strong> Directors Meeting<br />

Challenge: Finding a time for Trade Show Committee meetings. A conference call is one alternative.<br />

Action Required: Provide direction to staff regarding appropriate times for Marketing Committee <strong>and</strong><br />

Board <strong>of</strong> Directors meetings.

• The Board <strong>of</strong> Directors is selected from among the owners (members), so the interests<br />

<strong>and</strong> motives <strong>of</strong> directors are most closely aligned with those <strong>of</strong> the ownership<br />

(membership)<br />

• The Board is one – a unit – <strong>and</strong> relates to the owners <strong>and</strong> to the CEO as a whole<br />

• Regardless <strong>of</strong> whether the CEO <strong>and</strong> Chair roles are separated, the CEO role is distinctly<br />

different from <strong>and</strong> subordinate to the role <strong>of</strong> the Board<br />

• The CEO is accountable to <strong>and</strong> in communication with the Board as a whole, not simply<br />

to the Chair or a committee<br />

• The CEO role is a pivotal one, representing a genuine vulnerability <strong>of</strong> the organization<br />

<strong>and</strong> potentially becoming a bottleneck if the relationships are not well managed<br />

• Even though individuals may hold various roles (such as an owner also being a customer<br />

<strong>and</strong> a CEO also being a board member), it is critical to recognize what role a person is<br />

acting in <strong>and</strong> relate to them in that manner<br />
