TERMS <strong>AND</strong> CONDITIONS OF SALE<br />
Terms: Standard terms are 2% NET 10 days. A 1 1/2% per month (18% per annum) service<br />
charge will be added to all past due accounts. All invoices are to be paid in US Currency. Title and<br />
risk of loss pass to buyer upon shipment.<br />
Freight Allowance: Freight prepaid on orders of $1000.00 NET or more. Freight prepaid on<br />
orders containing only equipment pads of $1500.00 NET or more. Freight prepaid on flexible<br />
couplings only orders of 126 pieces or more. Prepaid freight levels are based on shipments to one<br />
location only. It is the responsibility of the customer to determine if his purchase order meets the<br />
minimum freight allowance required. NDS reserves the right to select the carrier and point of<br />
shipment.<br />
Canadian Orders: Freight prepaid on orders of $1,500.00 (US$) NET or more. Custom<br />
DuraCast only orders freight prepaid on orders of $8,000.00 (US$) NET or more.<br />
Minimum Order: Minimum invoice amount is $100.00 net.<br />
Order Acceptance: We reserve the right to accept or reject any order. Possession of a price list<br />
shall not be construed as an offer to sell the products listed.<br />
Credit: All orders are subject to credit approval. Shipments will be held on accounts with<br />
unsatisfactory payment status.<br />
Current Prices: Products are sold at prices in effect at time order is placed. Prices are subject to<br />
change without prior notice.<br />
Shortage Claims: Claims for shortages must be made within three (3) business days of receipt of<br />
goods.<br />
Returned Merchandise: Authorization must be obtained from the factory before any products<br />
can be returned. We reserve the right to impose a twenty percent (20%) restocking charge. All<br />
returned goods must be returned freight prepaid and must be of current design and in resalable<br />
conditions.<br />
Product Design: We reserve the right to make changes in design or improvements without<br />
assuming liability to change products previously sold.<br />
Limited Warranty: Products manufactured by Agrifim are warranted to be free from defects in<br />
material and workmanship for a period of one year from date of delivery.<br />
This warranty is expressly conditioned upon the proper installation and application of the product<br />
as recommended by Agrifim.<br />

Within the period of this warranty, Agrifim is obliged to repair or replace part or all of product, or<br />
refund a part or all of the original purchase price, if any part proves defective in material or<br />
workmanship. The option to repair, replace or pay a refund shall be at the sole discretion of<br />
Agrifim. Misuse, neglect, modification or unauthorized repair shall completely void this warranty.<br />
This warranty constitutes the exclusive warranty made by Agrifim for its products and is expressly in<br />
lieu of all other warranties, express or implied, including any warranty of “merchantability” or<br />
“fitness for purpose”.<br />
Agrifim shall not be liable or responsible for incidental or consequential damages of any nature.<br />
Agrifim’s sole liability and responsibility shall be for the repair and replacement of defective parts or<br />
refund of part or all of the original price therefore pursuant to this warrant.<br />
This warranty is not deemed a consumer warranty and does not extend to anyone other than those<br />
who purchase products from Agrifim for resale.<br />
This warranty is effective only if notice of any claim is delivered to our company within 30 days<br />
after discovery of any defect. We neither assume nor authorize any representative or other person<br />
to assume for us any liability in connection with the sale or any shipment of our products.<br />
