1 UAB FMĮ „Diskontas“ vėl tapo Biržos nare.
2 AB „Pieno žvaigždės“ VP įtraukti į NVPB Oficialųjį prekybos
sąrašą.
11 Bendra VP apyvarta Biržoje viršijo 10 mlrd. Lt nuo pirmos
prekybos sesijos.
Vasaris
1 Reorganizavus AB „Lietuvos energija“, 4 energetikos
bendrovių – AB „Rytų skirstomieji tinklai“, AB „Vakarų
skirstomieji tinklai“, AB „Lietuvos elektrinė“ ir AB „Mažeikių
elektrinė“ VP įtraukti į Einamąjį prekybos sąrašą.
2 AB „Vilniaus Vingis“ vertybiniai popieriai įtraukti į Oficialųjį
prekybos sąrašą.
2 Lietuvos banko valdyba nustatė, kad nuo 2002 m. vasario
2 d. lito bazinė valiuta yra euras, o oficialus lito kursas -
3,4528 Lt už 1 eurą.
19 UAB FMĮ „Trigon Capital“ tapo biržos nare.
25 AB „Naujieji Verkiai“ vertybiniai popieriai įtraukti į Einamąjį
prekybos sąrašą.
25 Akcijų paklausa išaugo beveik 6 kartus ir pirmą kartą Biržos
istorijoje viršijo pasiūlą – pasiūlos/paklausos santykis siekė
0,5.
Kovas
1 Oficialaus pasiūlymo būdu Bryggerigruppen A/S supirkus
AB „Kalnapilis“ akcijas, šios bendrovės vertybiniai popieriai
buvo išbraukti iš Oficialiojo prekybos sąrašo.
6 NVPB kartu su „Partners for Financial Stability“ programa
ir Rygos birža surengė seminarą „Tarptautiniai apskaitos
standartai“ NVPB listinguojamoms įmonėms.
18 AB „Vilniaus degtinė“ vertybiniai popieriai įtraukti į Einamąjį
prekybos sąrašą.
19 Valstybės turto fondui ir Vokietijos bankui „Norddeutsche
Landesbank Girozentrale“ (Nord/LB) pasirašius AB „Lietuvos
žemės ūkio bankas“ akcijų priėmimo-perdavimo aktą,
Nord/LB įsigijo 76,01 proc. banko akcinio kapitalo.
22 NVPB, Nacionalinė finansų maklerių asociacija, Lenkijos
finansų maklerių ir investicijų patarėjų asociacija kartu su
„Partners for Financial Stability“ programa surengė seminarą
„Finansų analizė ir investicijų portfelio valdymas“.
25–29 NVPB vyko Velykinė akcija „Prekybą Biržoje realiu laiku
stebėk nemokamai“.

1 After reorganisation of Lietuvos Energija AB securities of 4
energy companies, Rytų Skirstomieji Tinklai AB, Vakarų
Skirstomieji Tinklai AB, Lietuvos Elektrinė AB, and Mažeikių
Elektrinė AB, were admitted to the Current List.
2 Securities of Vilniaus Vingis AB were admitted to the Official

2 The Board of the Bank of Lithuania established Euro as the
anchor currency for litas and fixed the official exchange rate
of LTL 3.4528 for EUR 1 to be effective from 2 February 2002.
19 FBF Trigon Capital UAB became member of the Exchange.
25 Securities of Naujieji Verkiai AB were entered onto the Current
List.
25 The demand for shares increased almost six times and for the
first time in the history of the Exchange exceeded the supply,
the demand/supply ratio being 0,5.
March
1 After Bryggerigruppen A/S had bought up shares of Kalnapilis
AB by way of a tender offer, securities of this company were
removed from the Official List.
6 The NSEL together with the Partners for Financial Stability
program and the Riga Exchange held a seminar on International
Accounting Standards for the NSEL listed companies.
18 Securities of Vilniaus Degtinė AB were admitted to the Current
List.
19 The State Property Fund and the German bank Norddeutsche
Landesbank Girozentrale (Nord/LB) signed the share transfer/
acquisition act of Lietuvos Žemės Ūkio Bankas AB, Nord/LB
acquiring 76.01 % of the bank’s share capital.
22 The NSEL, National Association of Finance Brokers, Association
of Polish Finance Brokers and Investment Advisors, assisted by
the Partners for Financial Stability program held a seminar on
Financial Analysis and Investment Portfolio Management.
25–29 The NSEL held an Easter promotion campaign Follow Real
Time Quotes on the Exchange for Free.
April
1 The new Law on Securities Market became effective.
11 The Sampo Bankas UAB joined members of the NSEL.

27 Įsigaliojo NVPB prekybos taisyklių pakeitimai bei papildymai,
suderinę Prekybos taisykles su Europos Bendrijos
teisės reikalavimais, išdėstytais Europos Parlamento ir
Tarybos direktyvoje 2001/34/EB.
Liepa
8 NVPB pažymėjo geriausiai metinius prospektus-ataskaitas
už 2001 metus paruošusias listinguojamas bendroves: AB
„Lietuvos telekomas“, AB „Rokiškio sūris“, AB „Lietuvos
energija“, AB „Klaipėdos baldai“, AB „Žemaitijos pienas“, AB
„Lietuvos draudimas“ ir AB „Vilniaus baldų kombinatas“.

2 AB „Dainiai“ akcijos įtrauktos į NVPB Einamojo prekybos sąrašo
vertybinių popierių grupę, kurių emitentai dėl įvairių
priežasčių siekia įsigyti savo pačių akcijų, tačiau neturi tikslo
pasilikti Einamajame prekybos sąraše ilgesniam laikui.
14 NVPB šventė 9-ąjį gimtadienį. Šia proga vyko savaitės trukmės
akcija „Akcijų prekybą Biržoje stebėk nemokamai“.
Lapkritis
4 Įsigaliojo Prekybos ir kitų taisyklių pakeitimai bei papildymai,
įtvirtinę nuostatą, kad nuosavybės teisė į vertybinius
popierius, perleidžiamus pagal Biržoje sudarytus sandorius,
pereina atsiskaitymų dieną.
4 AB „Panevėžio melioracija“ akcijos įtrauktos į NVPB specialiąją
Einamojo prekybos sąrašo VP grupę.
15 NVPB tapo Europos vertybinių popierių biržų federacijos
(FESE) asocijuota nare.
18 AB „Aliejus“ akcijos įtrauktos į specialiąją Einamojo prekybos
sąrašo VP grupę.
Gruodis
16 Birža surengė tradicinį vertybinių popierių rinkos dalyvių
susitikimą, kuriame buvo paskelbtos 2002 metų nominacijos.
18 NVPB vyko 2 savaičių Kalėdinė akcija “Akcijų prekybą Biržoje
stebėk nemokamai“.

27 Amendments and supplements to the NSEL Trading Rules harmonised
with the European Union law requirements set forth
in the European Parliament and Council Directive 2001/34/EC
became effective.
July
8 The NSEL singled out the best-prepared annual prospectusesreports
for the year 2001 by the listed companies Lietuvos
Telekomas AB, Rokiškio Sūris AB, Lietuvos Energija AB,
Klaipėdos Baldai AB, Žemaitijos Pienas AB, Lietuvos Draudimas
AB, and Vilniaus Baldų Kombinatas AB.

2 Shares of Dainiai AB were admitted to a special group of
securities on the Current List, the issuers of which seek to buy
back their shares because of different reasons, yet do not have
a long-term intention to have them quoted.
14 The NSEL celebrated its ninth birthday. That was an occasion
for a week-long promotion campaign Follow Real Time
Quotes on the Exchange for Free.
November
4 Amendments and supplements to the Trading Rules came
into force providing that the title to securities transferable
under transactions concluded on the Exchange passes to the
new owner on the settlement day.
4 Shares of Panevėžio Melioracija AB were admitted to a special
group of securities on the Current List.
15 The NSEL became an associated member of the Federation of
European Stock Exchanges.
18 Shares of Aliejus AB were admitted to a special group of securities
on the Current List.

16 The Exchange held a traditional meeting of the securities
market participants, in which awards for the year 2002 were
announced.
18 The NSEL held a two-week long Christmas promotion campaign
Follow Real Time Quotes on the Exchange for Free.

PREZIDENTO LAIŠKAS
NACIONALINĖ VERTYBINIŲ POPIERIŲ BIRŽA
Šią veiklos ataskaitą išleidžiame Nacionalinės vertybinių popierių biržos dešimtmečio išvakarėse
– šių metų rugsėjo 14 d. minėsime 10 metų sukaktį nuo pirmosios Biržos prekybos sesijos. Istorija neilga,
jeigu lyginsimės su šimtametę veiklos patirtį sukaupusiomis seniausiomis Europos VP biržomis.
Tačiau nepriklausomos Lietuvos istorijoje šis dešimtmetis - tai dinamiškų pokyčių ir reformų įtvirtinant
rinkos santykius laikotarpis. Kapitalo rinkos plėtra tęsiasi ir šiandien jau turime visiškai susiformavusią
rinkos infrastruktūrą, leidžiančią skaidriai ir patikimai vykdyti prekybą ir atsiskaitymus VP. Pirmuosius
LR Vyriausybės nutarimus pakeitė Europos Sąjungos teisės normas įgyvendinantis Vertybinių popierių
rinkos įstatymas. Atitinkami įstatymai reglamentuoja rinkos priežiūrą ir investicijų apsaugą.
Per tuos metus buvome ir likome atviri pažangai. Sugebėjome pasinaudoti kolegų iš Prancūzijos,
JAV, Didžiosios Britanijos ir kitų šalių patirtimi. To pasekoje įdiegta ir funkcionuoja nematerialių vertybinių
popierių apskaitos sistema. Nuo vertybinių popierių kotiravimo kartą per savaitę pereita prie
kasdienės nepertraukiamos prekybos. Esminė informacija apie padėtį rinkoje bei įmones, kurių VP
listinguojami Biržoje, nedelsiant pasiekia visus rinkos dalyvius.
Pasikeitė ir pačios Biržos statusas: iš ne pelno organizacijos tapome pelno siekiančia įmone. Nors
pasaulinės kapitalo rinkos nuosmukio tendencijos veikė ir Lietuvos kapitalo rinką, pavyko išvengti
reikšmingo rinkos kritimo, netgi priešingai - per metus Biržos prekybos apyvarta išaugo 10% ir viršijo
2 mlrd. lt. Akcijų kainų kilimas pastūmėjo aukštyn ir akcijų indeksus: LITIN-10 pakilo 17,7%, o LITIN-G
- 6,6%.
Į Oficialųjį sąrašą buvo įtrauktos perspektyvių bendrovių AB „Pieno žvaigždės“ ir AB „Vilniaus Vingis“
akcijos. Einamasis sąrašas papildytas 9 emitentų akcijų emisijomis. Naujais biržos nariais tapo FMĮ
„Trigon capital“ ir „Sampo bankas“.
Žvelgiant į ateitį, Biržos valdybos laukia svarbūs uždaviniai. Turime ir toliau užtikrinti vertybinių
popierių rinkos operacijų vykdymą, efektyviai panaudojant šalyje veikiančią VP rinkos infrastruktūrą.
Visokeriopai skatinti integraciją į besikuriančią bendrą ES šalių VP rinką, siekti pritraukti pajėgų strateginį
partnerį, turintį stiprias konkurentines pozicijas Europos šalių VP rinkoje.
Tikiuosi, kad ši metinė ataskaita padės biržos akcininkams, nariams, emitentams bei investuotojams
geriau suprasti Biržos valdybos veiklos prioritetus bei įvertinti esamą padėtį. Linkiu visiems
rinkos dalyviams gerų rinkos naujienų bei teisingų ir savalaikių sprendimų investuojant Lietuvos
kapitalo rinkoje.

LETTER FROM THE PRESIDENT
This Annual Report will be presented to the public on the eve of the jubilee of the National Stock
Exchange of Lithuania, as on 14 September this year we will be commemorating the tenth anniversary
from the first trading session at the Exchange. We are a very young institution if compared to the oldest
European stock exchanges with a century-old experience. The decade behind us, however, is marked with
dynamic changes and reforms in building up market relations. The capital market is still in process of
development, yet the market infrastructure has been fully established and ensures transparent and reliable
trading and settlement of securities. The original resolutions of the Government of the Republic of
Lithuania pertaining to the area have been replaced by the Law on Securities Market, which enforces legal
provisions of the European Union. Besides, other laws have been passed to regulate market supervision
and protection of investment.
During all these years we have been and remain open to progress. We have been taking our cue from
our colleagues in France, the USA, Great Britain and other countries. As a result, an accounting system for
dematerialised securities has been implemented and made operational. A once-weekly quoting of securities
has been replaced by daily continuous trading. Material information about the market situation and
the listed companies reaches all market participants on line.
The Exchange itself has acquired a completely new status: from a non-for-profit organisation the institution
was transformed into a profit-seeking company. Although the decline tendencies prevailing in the global
capital markets did to an extent affect the Lithuanian capital market, we have succeeded in preventing
the deterioration of the market. Quite conversely, during the year the trading turnover on the Exchange
has augmented by 10 per cent and exceeded LTL 2 billion. The rise in share price has pushed upwards share
indices too: LITIN-10 went up by 17.7 per cent, and LITIN-G by 6.6 per cent.
Shares of the most promising companies, Pieno Žvaigždės AB and Vilniaus Vingis AB, were admitted to
the Official List. The Current List was supplemented with shares of new issues of 9 issuers. FBF Trigon Capital
and Sampo Bank became new members of the Exchange.
Similarly, in the future some challenging tasks are awaiting the Board of the Exchange. The Body of
management will have to further ensure the smooth operation of the securities market by effectively employing
the existing market infrastructure. Among other tasks entrusted to us is promoting of integration
into the developing common securities market of the EU countries. Further, we will seek to attract an established
strategic partner holding a strong competitive position on the securities market of the European
countries.
I truly hope that the present Annual Report will help the Exchange shareholders, members, issuers and
investors better comprehend the priorities pursued by the Board of the Exchange and weigh the current
situation. It is my pleasure to wish all market participants good market news and correct timely judgement
when investing in the Lithuanian capital market.

Our mission is to organise and develop the Lithuanian securities
market by creating the most favourable conditions for issuers,
investors, and financial intermediaries to exploit efficiently the
advantages of the capital market.
STRATEGIC GOALS FOR 2002-2004
The strategic goals of the Exchange are the following:
– Develop in Lithuania a regulated, transparent, efficient and
liquid securities market, of the international standard;
– Contribute to the integration of the Lithuanian securities market
into the European capital markets by creating technological
links and strategic partnerships with the European exchanges;
– Strengthen competitiveness of the Exchange, promote a stock
exchange business, multiply shareholders’ equity.

Biržos taryba 2002 m. birželio 11 d. ketveriems metams išrinko
naujos sudėties Biržos valdybą. Valdyba savo darbą 2002
m. organizavo pagal sausio mėn. patvirtintą valdybos posėdžių
planą. Vadovaudamasi Biržos įstatuose numatyta valdybos
kompetencija, valdyba rengė ir teikė Vertybinių popierių komisijai
(VPK) tvirtinti Biržos Prekybos taisykles, jų pakeitimus
ir papildymus, priiminėjo nutarimus ir kitas taisykles, reguliuojančias
prekybą vertybiniai popieriais. Įvyko 34 valdybos posėdžiai,
kurių metu svarstyti prekybos organizavimo, naujos automatinės
prekybos sistemos TLAPS kūrimo, ūkinės-finansinės
veiklos analizės, rinkos priežiūros ir vidaus kontrolės rezultatų
bei kiti aktualūs klausimai.

On 11 June, 2002 the Supervisory Board of the Exchange elected
the Management Board of a new composition for the term of four
years. During the year 2002, the Board organised its activities in accordance
with the schedule worked out in the Board’s meeting plan
approved in January. Following the competence prescribed to it by
the Articles of Association of the Exchange, the Board prepared and
submitted for approval of the Lithuanian Securities Commission
(LSC) the Exchange Trading Rules, amendments and supplements
to them, passed resolutions and rules regulating trading in securities.
34 meetings of the Board were held to discuss trading organisation,
development of the new three-tier automated trading system
TLAPS, economic and financial performance, results of market surveillance
and internal control as well as other urgent issues.

TEISINIS REGULIAVIMAS
Biržos Prekybos taisyklės per 2002 m. buvo keistos ir pildytos
tris kartus – balandžio, birželio ir rugsėjo mėn.:
– balandžio mėn. įsigaliojusių pakeitimų ir papildymų pagrindinis
tikslas buvo maksimaliai sumažinti prekybos vertybiniais
popieriais sustabdymo Biržoje terminus, kai prekybos
stabdymą sąlygojo emitento visuotiniame akcininkų susirinkime
priimti nutarimai dėl įstatinio kapitalo didinimo,
mažinimo, akcijų nominalios vertės keitimo ar vertybinių popierių
konvertavimo. Kiti NVPB prekybos taisyklių pakeitimai
bei papildymai buvo susiję su emitento Biržai pateikiamos
periodinės ir kitos informacijos atskleidimu bei įtraukimo į
Biržos Oficialųjį bei Einamąjį prekybos sąrašą reikalavimais;
– birželio mėn. įsigaliojusių pakeitimų ir papildymų pagrindinis
tikslas – suderinti Prekybos taisykles su Europos Bendrijos
teisės reikalavimais, išdėstytais 2001 m. gegužės 28
d. Europos Parlamento ir Tarybos direktyvoje dėl vertybinių
popierių įtraukimo į oficialųjį prekybos sąrašą ir informacijos
apie tuos vertybinius popierius paskelbimo:
• pakoreguotos bei papildytos sąlygos, kurias turi atitikti
emitentas bei jo išleisti vertybiniai popieriai (akcijos,
valstybės išleisti skolos VP, bendrovių skolos VP, depozitoriumo
pakvitavimai dėl akcijų), kuriuos siekiama
įtraukti į Oficialųjį prekybos sąrašą, bei nustatytos
papildomos pareigos emitentams, kurių vertybiniai
popieriai įtraukti į šį sąrašą;
• apibrėžta emitento pareiga paruošti ir paskelbti Informacinį
biuletenį dėl vertybinių popierių įtraukimo
į Oficialųjį prekybos sąrašą bei numatyti atvejai, kada
emitentas gali būti dalinai arba visiškai atleistas nuo
šios pareigos, ir atvejai, kada emitentas Informaciniame
biuletenyje gali nenurodyti tam tikros informacijos;
• įtraukti anksčiau nenumatyti pagrindai, kuriais remdamasi
NVPB valdyba gali atsisakyti įtraukti vertybinius
popierius į Oficialųjį prekybos sąrašą bei nustatytas
ilgesnis terminas, per kurį valdyba turėtų priimti sprendimą
dėl vertybinių popierių įtraukimo ar atsisakymo
juos įtraukti į Oficialųjį prekybos sąrašą;
− rugsėjo mėn. patvirtintų pakeitimų bei papildymų, įsigaliojusių
2002 m. lapkričio 4 d., pagrindinis tikslas buvo įtvirtinti
nuostatą, kad nuosavybės teisė į vertybinius popierius, perleidžiamus
pagal Biržoje sudarytus sandorius, pereina atsiskaitymų
dieną.
2002 m. buvo keistos ir pildytos „Viešo akcijų pardavimo
NVPB taisyklės“ ir „Oficialaus pasiūlymo įgyvendinimo NVPB
taisyklės“. Šie pakeitimai bei papildymai suteikė galimybę NVPB
nariams veikti Biržoje subkomiso pagrindais bei įtvirtino nuostatą,
kad nuosavybės teisė į vertybinius popierius, perleidžiamus
pagal Biržoje sudarytus sandorius, pereina atsiskaitymų
dieną.
REGULATORY DEVELOPMENTS
NACIONALINĖ VERTYBINIŲ POPIERIŲ BIRŽA
During the year 2002, the Exchange Trading Rules were changed
and amended three times, in April, June, and September:
– amendments and supplements enforced in April aimed
at maximum reduction of securities trade halts at the Exchange
caused by resolutions of the General Meeting of
an issuer’s shareholders concerning increase/ decrease of
the authorised capital, change in the par value of shares
or conversion of securities. Other amendments and supplements
to the Exchange Trading Rules relate to the disclosure
requirements for periodical and other information
as well as admission to the Official and Current Lists of the
Exchange;
– the main objective of amendments and supplements passed
in June was to harmonise the Trading Rules with the European
Union law as defined in the European Parliament and Council
Directive of 28 May 2001 on the admission of securities to official
stock exchange listing and on information to be published
on those securities:
• corrections and supplements were made to the conditions
an issuer and its securities (shares, debt securities
issued by the government, corporate debt securities, depositary
receipts representing shares) have to meet while
seeking admission to the Official List of the Exchange as
well as additional obligations imposed on the issuers,
securities of which had been admitted to this List earlier;
• an issuer’s obligation to prepare and make public the Listing
Particulars concerning admission of securities to the
Official List was defined and cases when an issuer may
partly or fully be exempt from this obligation or cases
when an issuer may not specify certain types of information
in its Listing Particulars were provided for;
• the basis for refusal of admission of securities to the Official
List by the Board of the NSEL which was amiss in the
earlier version of the Trading Rules was established and
a longer period for the Board to pass the resolution with
regard to admission or refusal to admit securities to the
Official List set forth;
– amendments and supplements approved in September
came into power on 4 November 2002 providing that the
title to securities transferrable under transactions concluded
on the Exchange passes to the new owner on the settlement
day.
In 2002, the Rules on Public Sale of Securities on the NSEL and
the Rules on Tender Offer Execution on the NSEL were amended
and supplemeted. These changes allowed the NSEL members to
act on the Exchange on a subcommission basis and enforced the
provision that the title to securities transferable under transactions
concluded on the Exchange passes to the new owner on the
settlement day.

2002 m. Biržos valdyba priėmė kitus sprendimus dėl prekybos
VP organizavimo:
− sprendimas dėl Nelistinguojamų VP sąrašo specialios grupės,
kurioje esančiais VP yra prekiaujama centrinėje rinkoje,
numatė, kad į šią grupę bus įtraukiami tik iš Oficialiojo ir Einamojo
prekybos sąrašų išbraukiami vertybiniai popieriai,
kuriais po išbraukimo galima prekiauti viešai;
− sprendimas dėl VP grupės išskyrimo Einamajame prekybos
sąraše buvo priimtas atsižvelgiant į tai, kad Lietuvos Respublikos
akcinių bendrovių įstatymo 55 straipsnis leidžia įsigyti
savo akcijų tik toms akcinėms bendrovėms, kurių akcijos yra
įtrauktos į Biržos Oficialųjį arba Einamąjį prekybos sąrašą.
Tokios akcinės bendrovės paprastai neturi tikslo pasilikti Einamajame
prekybos sąraše ilgesnį laiką nei reikalingas savų akcijų
supirkimui. Valdybos sprendime šiuo klausimu numatyta
tokios VP grupės formavimo tvarka bei informacijos apie šiai
grupei priskiriamas akcijas ir jų emitentus skelbimo tvarka;
− sprendime dėl prekybos VVP sustabdymo ir nutraukimo
numatyta, kad prekyba konkrečios emisijos VVP nutraukiama
dvi dienos iki jų išpirkimo, o sustabdoma prieš dvi
dienas iki atkarpos išmokos mokėjimo dienos ir atkarpos
išmokos mokėjimo dieną imtinai.
2002 m. balandžio 1 d. įsigaliojo naujas Vertybinių popierių
rinkos įstatymas, kuris įpareigojo Biržą per 1 metus parengti
Prekybos taisyklių pataisas. Prekybos taisyklių naujos redakcijos
projektui Biržos valdyba pritarė 2002 m. lapkričio 18 d. Pagrindinis
šio Projekto tikslas – patobulinti prekybos vertybiniais popieriais
ir glaudžiai su ja susijusių santykių teisinį reglamentavimą.
Pažymėtina, kad rengiant šį Projektą buvo atsižvelgta į Europos
Parlamento ir Europos Tarybos 2001 m. gegužės 28 d. direktyvą
2001/34/EB dėl vertybinių popierių įtraukimo į biržos oficialųjį
prekybos sąrašą ir dėl informacijos apie tuos vertybinius popierius
paskelbimo, o taip pat į Europos Tarybos 1993 m. gegužės 10
d. direktyvą 93/22/EEB dėl investicinių paslaugų vertybinių popierių
srityje, ypač atsižvelgiant į šios direktyvos 21 straipsnį, susijusį
su informacijos apie sandorius pateikimu investuotojams.
Atsižvelgiant į Lietuvos Respublikos įstatymuose numatytą
galimybę platinti į pirminę viešąją apyvartą išleidžiamas akcijas
per vertybinių popierių biržą, buvo parengtas Viešo akcijų
emisijos platinimo per Nacionalinę vertybinių popierių biržą
taisyklių projektas, kuriam AB “Nacionalinė vertybinių popierių
birža“ valdyba pritarė šių metų gruodžio 16 dieną.
Besides, in 2002 the Board passed other resolutions concerning
organisation of trading in securities:
– resolution concerning a special group of Unlisted securities
which are traded on the central market stipulates that this
group will only contain securities that are removed from the
Official and Current Lists, yet after removal their public trading
is allowed;
– resolution concerning a special group of securities on the
Current List was passed with due regard to Article 55 of the
Company Law of the Republic of Lithuania which allows
public companies to buy back their shares listed on the Official
or Current List of the Exchange. Usually such public
companies do not pursue a longer quoting on the Current
List than is required for buying back their shares. The Board
resolution stipulates the order of forming such a group of
securities and disclosure of information with regard to them
and their issuers;
– resolution concerning suspension and termination of trading
in government securities provides that trading in government
securities of a particular issue shall be terminated two days
before the coupon maturity and on the day of the coupon
maturity including.
On 1 April 2002 a new Law on Securities Market came into force,
which obligated the Exchange to preprare amendments to the
Trading Rules within 1 year. The new draft wording of the Trading
Rules was approved by the Board of the Exchange on 18 November
2002. The draft Rules were targeted at improvement of legal regulation
of securities trading and related issues.
It must be noted that this project was prepared with due regard
to the European Parliament and Council Directive No 2001/34/EC
of May 28, 2001 on the admission of securities to official stock
exchange listing and on information to be published on those
securities, as well as to the European Council Directive No 93/22/
EEC of May 10, 1993 on investment services in the securities field,
especially Article 21 which deals with the disclosure of information
about transactions to investors.
Taking into consideration the laws of the Republic of Lithuania
which provide for initial public offering of shares on the Stock Exchange,
rules on public offering of shares on the National Stock
Exchange were drafted and passed by the Board of the National
Stock Exchange of Lithuania AB on December 16 of the last year.

PREKYBA BIRŽOJE
2002 m. prekybos Biržoje rodikliai leidžia teigti, kad praėjusiais
metais rinka buvo aktyvesnė nei 2001 m. Daugiau nei
tris kartus išaugo akcijų paklausa centrinėje rinkoje, o akcijų
pasiūlos ir paklausos santykis sumažėjo nuo 6,83 iki 2,78. Per
2002 m. Biržoje buvo sudaryta 37,5 tūkst. sandorių, pirkta-parduota
virš 508 mln. vertybinių popierių, kurių bendra apyvarta
buvo beveik 10% didesnė nei 2001 metais ir siekė 2,024 mlrd.
Lt (daugiau tik 1999 m. - 2,3 mlrd. Lt). 68 proc. šios apyvartos
sudarė skolos VP - 1,37 mlrd. Lt, per metus prekyba jais išaugo
37%.
Ženkliai, net 25,5%, ūgtelėjo VP apyvarta centrinėje rinkoje,
ji bendroje apyvartoje sudarė vieną dešimtadalį ir siekė 211
mln. Lt. Prekiaujant akcijomis sudaryta virš 36 tūkst. sandorių,
jų pirkta-parduota daugiau nei 475 mln. vienetų, o apyvarta
siekė 650 mln. Lt (23% mažiau nei 2001 m.). Tačiau akcijų
apyvarta centrinėje rinkoje padidėjo 17,4% iki 131 mln. Lt ir
sudarė daugiau nei 20% bendros akcijų apyvartos (2001 m.
- 13%). Beveik du kartus daugiau nei paeitais metais sudaryta
kitų sandorių akcijomis, tačiau šie sandoriai tapo pastebimai
smulkesni (vidutinė šių sandorių vertė nukrito nuo 158 tūkst.
Lt 2001 m. iki 57 tūkst. Lt), o apyvarta sumažėjo iki 518 mln.
Lt (2001 m. - 728 mln. Lt). 2002 m. akcijų apyvartoje kitais
sandoriais 5% sudarė įvykdyti oficialūs pasiūlymai (25,5 mln. Lt
apyvarta), 2,6% - valstybės turto privatizavimas per Biržą (13,6
mln. Lt apyvarta).
Per metus 26-šių listinguojamų bendrovių akcijų kaina pakilo,
o 20-ties - sumažėjo. Akcijų indeksai LITIN-G ir LITIN-10 pakilo
atitinkamai 6,6 ir 17,4 procento. Biržos kapitalizacija išaugo
2,89 proc. iki 12836 mln. litų, o listinguojamų VP kapitalizacija
išaugo 12,08 proc. iki 7580 mln. litų. Prekybos centrinėje rinkoje
lyderiais 2002 m. išliko AB „Vilniaus vingis“ (11,4 proc. bendros
centrinės rinkos apyvartos) ir AB „Lietuvos telekomas“ (9,5
proc.) akcijos. Rugsėjo mėnesį tiesioginiu sandoriu perleistų AB
„Mažeikių nafta“ vertybinių popierių apyvarta bendroje akcijų
apyvartoje sudarė 41%, o kitų sandorių akcijomis apyvartoje
- 51%.
Be prekybos centrinėje rinkoje bei tiesioginiais sandoriais,
2002 m. per Biržą buvo vykdomi oficialūs pasiūlymai, valstybės
turto privatizavimas ir viešas akcijų paketų pardavimas. 2002 m.
Biržos akcijų apyvartos struktūra pagal sandorių tipus pateikta
lentelėje.
VVP apyvarta 2002 m. siekė 1375 mln. litų, o lyginant su
2001 m., išaugo 37,35 proc. Aktyviausiai VVP prekiaujama
buvo tiesioginiais sandoriais (94 proc. bendros VVP apyvartos).
Aktyviausiai buvo prekiaujama 366-2555 dienų trukmės VVP.
Šiais VVP sudaryta 904 sandoriai (60,8 proc. visų sandorių), o
šių VVP apyvarta buvo 742,8 mln. litų (54 proc. bendros VVP
apyvartos).
TRADING ON THE EXCHANGE
NACIONALINĖ VERTYBINIŲ POPIERIŲ BIRŽA
The Exchange trading indicators of 2002 allow for a conclusion
that last year the market was far more active than in 2001.
The demand for shares on the central market surged more than
threefold, while the demand and supply ratio dropped from 6.83
to 2.78. During 2002, the Exchange saw 37.5 thousand transactions
concluded, over 508 million securities bought and sold, the
total turnover exceeding that of 2001 by almost 10% and reaching
LTL 2.024 billion (this figure was higher only in 1999, when it was
LTL 2.3 billion). Trading in debt securities accounted for 68%, or LTL
1.37 billion, which augmented by 37% per year.
There was a growth of 25.5% in securities turnover on the central
market, which made up one tenth of the total turnover amounting
to LTL 211 million. There were 36 thousand transactions in shares,
the number of traded shares exceeded 475 million units, while
their turnover reached LTL 650 million (by 23% less than in 2001).
Yet, there was an underlying growth of 17.4% in share trading on
the central market, to LTL 131 million, making up more than 20%
of the total share turnover (in 2001, 13%). The number of other
transactions in shares increased almost twice, but these transactions
are conspicuosly smaller (the average value of these transactions
dropped from LTL 158 thousand in 2001 to LTL 57 thousand
), the turnover reduced to LTL 518 million (cf. with LTL 728 million
in 2001). In 2002 share turnover in other transactions included
executed tender offers (5%, or LTL 25.5 million) and state property
privatisation through the Exchange (2.6%, or LTL 13.6 million).
During the year, the share price of 26 listed companies went up
and that of 20 down. Share indices LITIN-G and LITIN-10 increased
by 6.6 and 17.4% respectively. The Exchange capitalisation augmented
by 2.89%, to LTL 12,836 million, and capitalisation of
listed securities increased by 12.08%, to LTL 7,580 million. The
most popular shares on the central market in 2002 remained the
same, namely, those of Vilniaus Vingis AB (11.4% of total central
market turnover) and Lietuvos Telekomas AB (9.5%). In September
block trading of Mažeikių Nafta AB shares accounted for 41% of
the total share turnover and for 51% of share turnover by other
transactions.
Besides trading on the central market and in blocks, tender
offers, state property privatisation and public sale of blocks of
shares were executed on the Exchange in 2002. Breakdown of the
Exchange share transactions according to types of transactions is
shown in the Table.
Turnover of government securties in 2002 reached LTL 1,375
million, soaring, if compared to 2001, by 37.35%. Government
securities were mainly traded in blocks (94% of total turnover of
government securities). The largest portion of trades in government
securities fell to those of 366-2555 days maturity. There
were 904 transactions concluded in these securities (60.8% of all
transactions), their turnover being LTL 742.8 million (54% of total
turnover of government securities).

LISTINGUOJAMOS BENDROVĖS
Tobulinant Biržos teikiamas paslaugas emitentams buvo siekiama,
kad Biržoje būtų listinguojamos didžiausios ir perspektyviausios
Lietuvos akcinės bendrovės. 2002 m. pradžioje įvyko
keletas stambių privatizavimo sandorių bei įmonių įsigijimų, lėmusių
reikšmingus pokyčius Biržos prekybos sąrašuose. Įmonių
reorganizavimas skaidymo būdu didino Biržoje listinguojamų
bendrovių gretas, tuo tarpu oficialių pasiūlymų įgyvendinimas
paskatino kai kurių emitentų išėjimą iš Biržos prekybos sąrašų.
2001 metų pabaigoje Biržos Oficialiajame prekybos sąraše
buvo listinguojami AB „Lietuvos telekomas“, AB „Ekranas“, AB
„Rokiškio sūris“, AB „Kalnapilis“, AB „Snaigė“ ir AB „Utenos trikotažas“
vertybiniai popieriai. Danijos bendrovei Bryggerigruppen
A/S padidinus turimą AB „Kalnapilis“ akcijų paketą beveik
iki 97 %, nuo kovo 1d. delistinguotos AB „Kalnapilis“ akcijos
iš Oficialiojo prekybos sąrašo. 2002 m. pradžioje jas pakeitė
sėkmingai dirbančių bendrovių AB “Pieno žvaigždės“ ir AB “Vilniaus
vingis“ akcijos. Tokiu būdu metų pabaigoje Oficialiajame
prekybos sąraše buvo kotiruojamos AB „Lietuvos Telekomas“,
AB „Ekranas“, AB „Rokiškio sūris“, AB „Snaigė“, AB „Utenos trikotažas“,
AB „Pieno žvaigždės“ ir AB „Vilniaus Vingis“ akcijos.
Per 2002 metus į Einamąjį prekybos sąrašą buvo įtraukta
keturių bendrovių vertybiniai popieriai. Į specialią Einamojo
prekybos sąrašo grupę vertybinių popierių, kurie į šį sąrašą
įtraukiami emitentui siekiant įsigyti savo paties akcijų bei neturint
ilgalaikio tikslo kotiruoti akcijas Einamajame prekybos
sąraše, 2002 m. įtrauktos trijų bendrovių akcijos.
Estijos bankas „Hansapank“ AS, įsigijęs AB „Lietuvos taupomasis
bankas“ akcijų paketą, vėliau oficialaus pasiūlymo būdu
supirko daugumą AB „LTB“ akcijų, todėl nuo 2002 m. balandžio
1 d. Birža delistingavo jas iš Einamojo prekybos sąrašo. 2002 m.
pirmąjį pusmetį 3 bendrovės savo noru (pagrindinių akcininkų
iniciatyva) pasitraukė iš Biržos Einamojo prekybos sąrašo. Dvi
bendrovės nesugebėjo sumokėti Biržai listingavimo įmokos,
todėl jų VP 2002 m. buvo išbraukti iš Einamojo prekybos sąrašo
ir šešiems mėnesiams buvo įtraukti į Nelistinguojamų VP grupę,
kuriai taikomos centrinės rinkos procedūros.
Nelistinguojamų VP sąrašas 2002 m. buvo papildytas 23 VP
emisijomis (VP įregistruoti arba perregistruoti viešai apyvartai),
o išbraukta 190 VP emisijų dėl bendrovių reorganizavimo į UAB,
likvidavimo ir emisijų asimiliavimo ir 165 VP emisijos VPK nurodymu
dėl to, kad šie VP nėra apskaitomi pagal LR įstatymų
ir kitų norminių aktų keliamus reikalavimus sąskaitų tvarkytojams.
2002 m. pabaigoje Nelistinguojamų VP sąraše buvo 735
VP emisijos.
Per 2002 m. į Biržos Einamąjį prekybos sąrašą buvo įtraukta
16 VVP emisijų (643,6 mln. litų nominalia verte) ir papildytos 16
VVP emisijų (986 mln. litų nominalia verte). 2002 m. pabaigoje
Einamajame prekybos sąraše buvo 34 VVP emisijos, iš jų 8 emisijos
iki 365 dienų trukmės, 14 – nuo 366 iki 1095 dienų trukmės,
11 - nuo 1096 iki 2555 dienų trukmės ir 1 emisija daugiau
kaip 2555 dienų trukmės.
LISTED COMPANIES
NACIONALINĖ VERTYBINIŲ POPIERIŲ BIRŽA
In an attempt to improve services provided to the issuers the
Exchange spared no effort in attracting the largest and most viable
public companies in Lithuania to the Exchange trading lists.
At the beginning of 2002, a few major privatisation transactions
and acquisitions took place, causing some material changes on the
Exchange trading lists. Reorganisation of companies by splitting
increased the number of listed companies while implementation
of tender offers, on the contrary, resulted in disappearance of some
issuers from the Exchange trading lists.
At the end of 2001 the Official List of the Exchange contained
securities of Lietuvos Telekomas AB, Ekranas AB, Rokiškio Sūris AB,
Kalnapilis AB, Snaigė AB, and Utenos Trikotažas AB. From 1 March,
after the Danish company Bryggerigruppen A/S increased its interest
in Kalnapilis AB to almost 97%, shares of the company were
delisted from the Official List. Instead, shares of Pieno Žvaigždės AB
and Vilniaus Vingis AB were added to this list due to their outstanding
results, thus the Official List of the year-end quoted shares of
Lietuvos Telekomas AB, Ekranas AB, Rokiškio Sūris AB, Snaigė AB,
Utenos Trikotažas AB, Pieno Žvaigždės AB, and Vilniaus Vingis AB.
During 2002, securities of four companies complemented the
Current List. Three public companies had their shares listed in the
special group of the Current List, which contains securities of the issuers
seeking to buy back their shares without a long-term intention
to have them quoted.
The Estonian bank Hansapank AS, having acquired a block of
shares of Lietuvos Taupomasis Bankas AB (LTB), later purchased
the majority of the LTB AB shares by way of a tender offer, causing
their delisting by the Exchange from the Current List from 1 April
2002. During the first quarter of 2002, three companies removed
their securities from the Exchange Current List (at the initiative of
their main shareholders). Two companies failed to pay the listing
fee, which resulted in delisting of their securities from the Current
List and inclusion into the group of Unlisted securities subject to the
central market procedures for a period of six month.
In 2002, 23 securities issues (securities registered or re-registered
for public trading) supplemented the tier of Unlisted securities; 190
securities issues were removed from this list due to reorganisation of
a public company into private, liquidation or assimilation of issues;
165 securities issues were delisted by the order of the LSC because
of failure to account these securities according to the requirements
set forth for the account managers by laws and other legal acts of
the Republic of Lithuania. At the end of 2002, the Unlisted securities
contained 735 securities issues.
During 2002, 16 issues of government securities were on the
Current List of the Exchange (at par value of LTL 643.6 million), supplemented
by another 16 issues at par value of LTL 986 million. At
the end of 2002 the Current List contained 34 issues of government
securities, including 8 issues with the maturity of 365 days, 14 issues
with the maturity from 366 to 1095 days, and 11 issues of 1096 to
2555 days of maturity, and 1 issue with the maturity of more than
2555 days.

INFORMACIJOS ATSKLEIDIMAS IR RYŠIAI SU EMITEN-

Emitentų teikiamos informacijos išsamumas ir savalaikiškumas
yra viena iš pagrindinių priemonių rinkos skaidrumui
užtikrinti, todėl 2002 m. kaip ir kiekvienais metais buvo atliekama
išsami Oficialiojo ir Einamojo prekybos sąrašų emitentų
paruoštų metinių prospektų-ataskaitų analizė. Darbo eigoje
buvo bendradarbiaujama su VPK, teikiamos rekomendacijos ir
pastabos apie prospektų trūkumus ir kartu kreiptasi į emitentus
dėl klaidų ištaisymo ir ataskaitų savalaikio papildymo.
2002 m. kartu su „Partners for Financial Stability“ (PFS) programa,
kurią finansuoja JAV Tarptautinės plėtros agentūra
(USAID), buvo tęsiamas emitentų švietimas tarptautinių apskaitos
standartų diegimo, bendrovių valdymo klausimais. Kovo
mėn. Rygoje surengtas seminaras apie tarptautinių apskaitos
standartų kūrimo eigą bei jų diegimo ir taikymo problemas,
kuriame dalyvavo 12 bendrovių atstovai.
Birželio mėn. kartu su konsultante iš „Financial Services
Volunteer Corps“ organizacijos pradėtas rengti mokomasis
leidinys emitentams „Praktiniai patarimai darbui su investuotojais“.
Šiuo metu yra paruoštas angliškas leidinio variantas.
Galutinis leidinio variantas lietuvių kalba turėtų būti
pristatytas 2003 m. numatomame seminare emitentams ir
rinkos dalyviams.
BALTIJOS VP SĄRAŠAS „BALTIC LIST“
,,Baltic List“ sąrašas, kurį mūsų bei Rygos ir Talino biržų bendru
sutarimu sudaro didžiausių Baltijos šalių bendrovių VP,
2002 m. buvo toliau formuojamas ir reklamuojamas. 2002 m.
pradžioje, pasitraukus iš Oficialiojo sąrašo AB „Kalnapilis“ VP,
šiuos vertybinius popierius „Baltic List“ sąraše pakeitė AB „Pieno
žvaigždės“ akcijos. Nuo 2002 m. spalio 1 d. šį sąrašą papildė dar
viena Lietuvos bendrovė – AB „Vilniaus Vingis“. Taigi iš 15 „Baltic
List“ sąraše esančių akcijų septynios yra Lietuvos bendrovių.
2002 m. gruodžio 13 d. Baltijos VP sąrašo įmonių bendra kapitalizacija
sudarė 3,15 mlrd. eurų.
DISCLOSURE OF INFORMATION AND COMMUNICATION
WITH THE ISSUERS
Complete and up-to-date information disclosure by the issuers
is one of the key components in ensuring market transparency.
Therefore in 2002, the same as every year, a thorough analysis of
annual prospectuses-reports submitted by the issuers on the Official
and Current Lists was performed. In the course of work, we cooperated
with the LSC, offered recommendations and comments
concerning improvement of the reports and requested the issuers
to make corrections of errors or provide additional facts.
In 2002, together with the Partners for Financial Stability program,
funded by the US Agency for International Development (USAID), issuers
were further educated on implementation of international accounting
standards and corporate governance. In March, a seminar
held in Riga on the development of the International Accounting
Standards and problems of their implementation and application
was attended by representatives of 12 companies.
In June a joint project was started with a consultant from the
Financial Services Volunteer Corps organization to prepare a
manual for issuers “Practical Steps to Building Your Company’s
Investor Relations Practice“. Currently the English version of the
manual has been prepared. The final version of the manual in
Lithuanian should be presented to issuers and market participants
at the seminar scheduled for 2003.
BALTIC LIST – LIST OF BALTIC BLUE CHIPS
The Baltic List comprising securities of the largest companies
in the Baltic States, made by the agreement between the NSEL,
Riga and Tallinn Stock Exchanges, was further developed and
promoted. At the beginning of 2002, after securities of Kalnapilis
AB had been delisted from the Official List, they were replaced on
the Baltic List by shares of Pieno Žvaigždės AB. On 1 October 2002
one more Lithuanian company, Vilniaus Vingis AB, was added to
this List. Hence, of the 15 shares on the Baltic List seven are those of
Lithuanian companies. As of 13 December 2002 the total capitalization
of the Baltic List shares constituted Euro 3.15 billion.

BIRŽOS NARIAI
Biržos narystės propagavimas leido 2002 m. išlaikyti tą patį
narių skaičių. 2002 m. pradžioje Biržos nariais buvo 22 viešosios
apyvartos tarpininkai. Per šiuos metus Biržos narių gretas
papildė 1 bankas ir 1 FMĮ, sustabdė savo veiklą Biržoje 1 FMĮ.
2002 m. pabaigoje teisę prekiauti Biržoje turėjo 23 nariai. 2002
m. Biržoje akcijomis prekiavo visi Biržos nariai, o skolos VP – 16
Biržos narių.
Aktyviausiai prekiavo AB Vilniaus bankas VP prekybos skyrius
(28,25 proc. bendros Biržos apyvartos ir 36,62 proc. bendros
skolos VP apyvartos), o akcijomis – UAB FMĮ „Suprema“ (44,56
proc. bendros akcijų apyvartos). Daugiausiai sandorių sudarė
AB FMĮ „Finasta (22479 sandorius arba 60 proc. visų 2002 m.
sudarytų Biržoje sandorių).
Kovo mėn. kartu su Lietuvos finansų maklerių asociacija ir
„East-West Management“ instituto „Partners For Financial Stability“
programa buvo surengtas 2 dienų seminaras finansų
makleriams „Finansinė analizė ir portfelio valdymas“, kuriame
dalyvavo apie 70 dalyvių. Gegužės mėn. ir gruodžio mėn. buvo
organizuoti kursai pradedantiems finansų makleriams, kuriuose
mokėsi 21 žmogus.

Promotion of the Exchange membership allowed to retain the same
number of the Exchange members: at the beginning of 2002 the Exchange
had 22 intermediaries of public trading as members. During this
year 1 bank and 1 FBF joined the Exchange, while 1 FBF terminated its
activities on the Exchange. At the end of 2002, 23 members enjoyed the
right to trade on the Exchange. In 2002 all Exchange members traded
shares and 16 members of the Exchange traded debt securities as well.
The most active trader was the Securities Trading Department
of Vilniaus Bankas AB (28.25% of the total Exchange turnover and
36.62% of debt securities turnover), the most prolific share trader was
FBF Suprema UAB (44.56% of the total share turnover). The largest
number of transactions fell to FBF Finasta AB (22,479 transactions, or
60% of all transactions executed on the Exchange during 2002).
In March, in cooperation with the National Association of Finance
Brokers and the Partners For Financial Stability program of
East-West Management Institute, a two-day seminar was held for
finance brokers “Financial Analysis and Portfolio Management“,
which attracted 70 participants. In May and December training
was organised for beginning brokers, attended by 21 persons.

Prekybos sistemos plėtra, naujų prekybos būdų diegimas ir
plėtojimas pirmiausiai buvo įgyvendinamas per Biržos prekybos
sistemos TLAPS tolesnį tobulinimą. Aukciono ir esminių
įvykių segmentai naujoje prekybos sistemoje įdiegti 2002 m. II
ketvirtyje, o viešo pardavimo, oficialaus pasiūlymo ir skelbimų
lentos segmentus ketinta paruošti spalio mėnesio pabaigoje,
tačiau jie dar neįgyvendinti. Tobulinant TLAPS sistemą, jie bus
įdiegti 2003 metais, tuo būdu užbaigiant visų prekybos segmentų,
egzistavusių AS/400 platformoje, perkėlimą į TLAPS
– vartotojams bus suteikta galimybė visiškai pereiti prie naujomis
technologijomis paremtos prekybos sistemos TLAPS.

IMPROVEMET OF THE TRADING SYSTEM
Improvement of the trading system, introduction and development
of new trading tools were primarily achieved by way
of further improvement of the Exchange trading system TLAPS.
Segments of auction trading and disclosure of corporate events
were launched as early as the second quarter of 2002, while those
of public trading, tender offers and bulletin brard were scheduled
for the end of October. However, this work has not been completed
yet. It will be accomplished when all trade segments that
functioned on platform AS/400 are transferred to the TLAPS, and
consumers will be able to completely move to the trading system
TLAPS based on modern technologies.

RINKOS PRIEŽIŪRA
Siekiant efektyvesnės prekybos priežiūros 2002 m. buvo
paruošta ir valdybos patvirtinta rinkos priežiūros automatizavimo
projektinė užduotis, o sistemos rengimas turi būti užbaigtas
2003 m. II ketvirtyje.
Kasdienę rinkos priežiūrą vykdė Prekybos ir atsiskaitymų departamentas,
kuris operatyviai analizavo atvejus, kai įtariamas
pasinaudojimas vidine informacija ir manipuliavimas rinkos
kaina, ir teikė atitinkamą informaciją Vertybinių popierių komisijai.
2002 m. buvo nustatyti keturi atvejai, kai Biržos narių ar
jų klientų veikla galėjo turėti esminės įtakos rinkai bei apie tai
informuota VPK. Nauja prekybos priežiūros sistema leis operatyviau
vertinti Biržos narių prekybą bei paspartins informacijos
analizę.
2002 m. devyni Biržos nariai buvo nubausti už Atsiskaitymo
už sandorius sudarytus Biržoje taisyklėse numatytų lėšų sukaupimo
terminų nesilaikymą. Viso Biržos nariai sumokėjo 13500
litų baudų.

MARKET SURVEILLANCE
Seeking to guarantee a more efficient market surveillance, in
2002 the task project for the market surveillance automation was
prepared and approved by the Board of the Exchange; its completion
is projected for the second quarter of 2003.
A day-to-day market surveillance was carried out by the Trading
and Settlement Department, which promptly analysed all the
instances of suspected inside deals or market price manipulation
and notified the LSC thereof. In 2002 four cases were determined
when the activities of the Exchange members or their clients might
have had some material effect on the market; the LSC was notified
accordingly. The new market surveillance system will facilitate
evaluation of the Exchange members’ deals and accelerate the
information analysis.
In 2002 nine members of the Exchange were sanctioned for failure
to accumulate funds within the terms prescribed by the Rules
on Settlement of Transactions Concluded on the Exchange. The
total amount of fines equalled LTL 13,500.

INFORMACINĖS PASLAUGOS
2002 m. Birža daug dėmesio skyrė informacinių paslaugų,
orientuotų į smulkius vartotojus, populiarinimui. Prekybos
stebėjimo realiu laiku internete paslauga buvo reklamuojama
spaudoje, radijuje ir internete. Taip pat surengtos trys savaitės
trukmės akcijos „Stebėk prekybą Biržoje realiu laiku nemokamai“,
kurių metu visi Biržos tinklapio lankytojai galėjo nemokamai
išbandyti šią paslaugą. Kovo mėnesį Vilniaus, Kauno ir
Klaipėdos miestų Omnitel abonentams išsiuntinėtos reklaminės
skrajutės, pristatančios bendras Biržos ir Omnitel paslaugas
– prekybos duomenis SMS žinutėmis ir OMNI portale.
Praėjusiais metais buvo atliktas reikšmingas duomenų siuntimo
sistemos DDS patobulinimas – integruotas pranešimų apie
bendrovių esminius įvykius srautas. Ši naujovė leido 2003 m.
Biržos informacijos platintojams pasiūlyti informaciją apie esminius
įvykius realiu laiku. Metų pabaigoje Birža listinguojamoms
bendrovėms pasiūlė naują paslaugą – pavėlintus bendrovės
akcijų prekybos duomenis su galimybe juos skelbti emitento
tinklapyje. Oficialaus sąrašo bendrovė AB „Lietuvos telekomas“
pirmoji Lietuvoje savo tinklapio investuotojams skirtoje skiltyje
pradėjo skelbti pavėlintus savo akcijų prekybos duomenis.
Siekiant, kad Biržos interneto svetainė www.nse.lt būtų
išsamios ir aktualios informacijos apie VP rinką šaltinis, nemažai
dėmesio skirta jos tobulinimui. Dinamiškai užklausų
būdu generuojami duomenys, pakeitę statines informacijos
lenteles, ne tik pagreitino informacijos atnaujinimą ir sumažino
klaidų tikimybę, bet ir leido vartotojams pasirinkti norimo
periodo informaciją bei vykdyti duomenų paiešką pagal
įvairius parametrus. Svetainės lankytojų patogumui iš esmės
pertvarkytas informacijos pateikimas prekybos statistikos,
indeksų ir VP sąrašų puslapiuose. Kaip numatyta Biržos Plėtros
strategijoje 2002 m. pradėtas kurti naujas tinklapis. Pagal
Biržos valdybos patvirtintą naujos Biržos interneto svetainės
projekto realizavimo darbų grafiką naują svetainę numatoma
pristatyti 2003 m. rugsėjo mėnesio pradžioje – Biržos 10 metų
sukakties proga.
2002 metais Birža tęsė Lietuvos akademinio jaunimo švietimą.
Per praėjusius metus „Atvirų durų“ dienų metu Biržą
aplankė 39 moksleivių ir studentų grupės (daugiau nei 1000
dalyvių), kurios buvo supažindintos su Lietuvos VP rinkos struktūra,
Biržos veiklos ypatumais, aplankė finansų maklerio įmonę.
Taip pat Birža surengė seminarus apie vertybinių popierių rinką
Kauno mokytojams, LR Finansų ministerijos ir Valstybės turto
fondo darbuotojams.

NACIONALINĖ VERTYBINIŲ POPIERIŲ BIRŽA
In 2002 the Exchange devoted a particular attention to the promotion
of information services targeted at retail consumers. The
service of marketwatch in real time was advertised in the press,
on the radio and internet. Three one-week promotion campaigns
“Follow Real Time Quotes on the Exchange for Free“ were organised
to allow visitors of the Exchange website to try this new service.
In March, clients of the mobile provider Omnitel were sent out
advertising flyers, introducing joint services of the Exchange and
Omnitel, namely, distribution of trading data via short message
system SMS and OMNI portal.
Last year a major improvement in the data feed was achieved
when the flow of notices on corporate events was integrated. Due
to this innovation, in 2003 the Exchange could offer information
vendors data on corporate events in real time. At the end of the
year the Exchange offered a new service to the listed companies
– delayed data on the company’s share trading with a possibility
to publish them on the issuer’s homepage. The Official List company
Lietuvos Telekomas AB was the first in Lithuania to place
the delayed data about the Exchange quotes of its shares on its
website under the heading “For Investors“.
In an attempt to make the Exchange website www.nse.lt a
source of exhaustive hot information about the securities market,
much attention was given to its perfection. Replacement of the
static information tables by data generated through dynamic
querries not only accelerated updating of information and reduced
probability of errors but also enabled consumers to search
for historical data of a selected period as well as carry out this
search according to various parameters. For the convenience of
website visitors presentation of information on trading statistics,
indices, and lists of securities was totally renewed. As provided in
the Exchange Development Strategy, the development of a new
website has begun. Pursuant to the schedule of the Internet website
development approved by the Board of the Exchange, the new
website will be launched at the beginning of September of 2003,
on the occasion of the 10th anniversary of the Exchange.
In 2002 the Exchange continued education of the Lithuanian
academic youth. During the last year 39 groups of pupils and
students (more than 1000 visitors) visited the Exchange during the
so-called “open doors“ events. They were introduced to the structure
of the Lithuanian securities market and the Exchange activities,
visited a finance brokerage house. Furthermore, the Exchange
held seminars on the securities market to the teachers in Kaunas,
employees of the Ministry of Finance and the State Property Fund.

lygmens paketuose teikiami duomenys apie VP paklausą ir pasiūlą
geriausiomis kainomis, kainas (atidarymo, žemiausią, aukščiausią,
uždarymo, istorines), apyvartą, sandorius, LITIN-10 indekso pokyčius,
esminius įvykius, t.t. Antrojo lygmens paketais siunčiami visi
pirmojo lygmens duomenys bei duomenys apie rinkos gylį (pasiūlą
ir paklausą 5 geriausiomis kainomis).
Dienos prekybos rezultatai
Kiekvieną dieną pasibaigus Biržos prekybos sesijai elektroniniu
paštu ar per FTP perduodami oficialūs prekybos rezultatai: bendra
prekybos sesijos statistika (pavedimų ir sandorių skaičius, apyvarta
vienetais ir litais, kapitalizacija, akcijų indeksų pokyčiai, t.t.) bei suvestiniai
kiekvienos VP emisijos prekybos rezultatai.
VP prekybos statistikos duomenų bazės
Duomenų bazėse pateikiama išsami informacija apie visą emitento
VP prekybos Biržoje istoriją. Klientui pageidaujant duomenų bazę
galima suformuoti iš norimo emisijų skaičiaus.
Emitentų finansinių rezultatų duomenų bazės
Duomenų bazėse pateikiami emitentų, esančių Biržos Oficialiajame
ir Einamajame prekybos sąrašuose, balansai ir pelno nuostolio ataskaitos.
Galima pasirinktinai užsisakyti emitentų finansines ataskaitas,
parengtas pagal Lietuvos ir/ar tarptautinius apskaitos standartus.
Bendrovių pranešimai apie esminius įvykius
Gavusi informacinį pranešimą apie esminį įvykį, Birža nedelsdama
jį paskelbia savo interneto tinklapyje. Pageidaujantieji šią svarbią
informaciją gali gauti elektroniniu paštu arba per DSS.

Mėnesiniai ir ketvirtiniai biuleteniai, metų ataskaitos lietuvių ir anglų
kalbomis, Baltijos šalių menėsinė statistika ir Guide to Listed Companies

Real time quotes as well as exhaustive data on each traded security:
results of the call auction, 5 best bid/offer levels, a full list of trades,
detailed trading statistics of the day, links to company announcements,
historical statistics, general information about the company
and securities.
Real-time market data via datafeed
During the continuous trading, a datafeed transmits streaming real
time or delayed data on securities trading at the NSEL. Level 1 data
cover best bid/offer, open, high, low, closing prices, historical close,
individual trades, volume and value data, changes in the index LITIN-
10, company announcements, etc. Level 2 includes Level 1 data plus
information on market depth (five best bid/offer levels).
End of day trading results
Upon completion of the trading session the NSEL daily transmits via
electronic mail or FTP an official record of trading results: general trading
statistics (number of orders and transactions, turnover in volume
and value terms, capitalisation, stock index movements, etc.) and consolidated
trading results of each security.
Databases of historical statistics
Databases include full history of the security’s trading at the NSEL.
At customer’s request, the database may be created for the selected
issues.
Databases of issuers’ financial statements
Databases comprise balance sheet and profit (loss) statement data of
the issuers listed on the Official and Current Lists. The customer may
order issuers’ financial data according to the Lithuanian and/or International
Accounting Standards.
Issuers’ announcements about corporate events
Upon receipt of a company announcement about a corporate event,
the NSEL promptly publishes this announcement on its homepage.
Customers, willing to receive this important information to their desktop
via electronic mail or datafeed, may order this service.

Monthly and quarterly bulletins, annual reports in Lithuanian and English,

AKCIJOS IR AKCININKAI
Nuo 1998 metų Birža yra akcinė bendrovė, turinti juridinio
asmens teises. Nuo 2001 m. balandžio 26 d. Biržos įstatinis
kapitalas yra 3,69 mln. litų. Jis padalintas į 246 paprastąsias
vardines akcijas, kurių kiekvienos nominali vertė – 15000 litų,
bendra nominali vertė – 3690000 litų. Biržos paprastosios vardinės
akcijos yra įtrauktos į Nelistinguojamų vertybinių popierių
sąrašą, jų ISIN kodas LT0000124166.
2002 metais vyko gana aktyvi prekyba Biržos akcijomis
– buvo sudaryti 17 sandorių, nuosavybę pakeitė 42 akcijos.
Maksimali Biržos akcijų kaina 2002 metais buvo 32,5 tūkst. litų,
minimali – 4000 litų.
Metų pabaigoje NVPB buvo 79 akcininkai, o daugiau kaip
5% Biržos įstatinio kapitalo ir balsų valdė Lietuvos Respublikos
Finansų ministerija (109 Biržos akcijos arba 44,3 proc. įstatinio
kapitalo), UAB FMĮ “Diskontas“ (15 Biržos akcijų arba 6,1 proc.
įstatinio kapitalo) ir V. Vitkauskas (13 Biržos akcijų arba 5,28
proc. įstatinio kapitalo).
DARBUOTOJAI
Organizacinė Biržos struktūra 2002 metais nesikeitė. 2002 m.
pradžioje Biržoje dirbo 36 darbuotojai. Per šiuos metus darbuotojų
skaičius sumažėjo trimis (Ūkio skyriuje – 1, Rinkos analizės
departamente – 1, Juridinėje tarnyboje - 1) ir 2002 metų pabaigoje
Biržoje dirbo 33 darbuotojai. 2002 m. buvo finansuojamas
Biržos darbuotojų dalyvavimas kitų organizacijų rengiamuose
seminaruose bei pasirengimas laikyti egzaminus Europos kompiuterio
vartotojo pradmenų (ECDL) pažymėjimui gauti.

NACIONALINĖ VERTYBINIŲ POPIERIŲ BIRŽA
Since 1998 the Exchange has been a public company with a legal
personality. Starting from 26 April 2001, the authorised capital
of the Exchange has amounted to LTL 3.69 million. It is divided into
246 ordinary registered shares, the par value of each is LTL 15000,
the total par value making up LTL 3,690,000. The ordinary registered
shares of the Exchange are on the tier of Unlisted securities;
their ISIN code is LT0000124166.
During the year 2002 the Exchange shares were actively traded:
17 transactions were concluded in them, changing ownership of
42 shares. In 2002 the maximum price of the Exchange shares was
LTL 32,500, the minimum price was LTL 4000.
At the end of the year the NSEL had 79 shareholders: over 5% of
the Exchange share capital and votes was held by the Ministry of
Finance of the Republic of Lithuania (109 shares or 44.3% of the
authorized capital), FBF Diskontas UAB owned 15 shares of the Exchange,
or 6.1% of the authorised capital, and 13 shares, or 5.28%
of the authorised capital, were in the hands of V. Vitkauskas.
STAFF
The organizational structure of the Exchange remained unchanged
throughout 2002. At the beginning of the year, the
Exchange employed 36 people. During the year the number of
employees decreased by 3 persons (Economy and Maintenance
Division – 1, Market Analysis Department – 1, Legal Division
- 1), thus at the end of the year the Exchange staff comprised 33
employees. In 2002 the Exchange financed training of its staff
members at the seminars organised by other organisations as well
as their preparation for the European Computer Driver License
(ECDL) examination.

PAAIŠKINAMASIS RAŠTAS
NACIONALINĖ VERTYBINIŲ POPIERIŲ BIRŽA
Bendros Biržos pajamos 2002 m. sudarė 3239 tūkst. litų, pajamos iš pagrindinės veiklos sudarė 2323 tūkst. litų, iš investicinės
veiklos – 518 tūkst. litų, o kitos pajamos – 398 tūkst. litų.
Biržos pagrindinės veiklos pajamas 2002 m. sudarė pajamos iš prekybos VP (41%), kotiravimo įmokos (35%), metinė įmoka už
dalyvavimą Biržos prekyboje (15%), pajamos už informacinių paslaugų pardavimą (8%) ir kitos pajamos (1%). Pajamų iš prekybos
vertybiniais popieriais struktūra 2002 m. pateikta 8 lentelėje. Lyginant su 2001 m., šios pajamos sumažėjo beveik 40%, kadangi
ženkliai sumažėjo bendra prekyba akcijomis (22,68%).

Biržos veiksmai siekiant rasti naujų Biržos informacinių paslaugų vartotojų, didinti Biržos pajamas iš šių paslaugų buvo numatyti
Biržos Rinkodaros plane. 2002 metams buvo numatyta iš informacinių paslaugų pardavimo gauti 150 tūkst. litų pajamų. Aktyvi
rinkodara bei siūlomų informacinių produktų ir paslaugų plėtra leido Biržai padidinti šias pajamas iki 195 tūkst. Lt ir 61 tūkst. litų
(46 proc.) viršyti pajamas už atitinkamą laikotarpį 2001 metais.
Biržos išlaidos sumažėjo nuo 3560 tūkst. litų 2001 metais iki 3092 tūkst.litų 2002 metais, arba 13 %, ir pasiskirstė taip: darbo
užmokesčio sąnaudos sudarė 38 proc. bendrųjų išlaidų, ūkio išlaidoms teko 36 proc., kur didžiausią dalį (17 proc.) sudarė amortizaciniai
atskaitymai, 12 proc. bendrųjų išlaidų teko socialinio draudimo sąnaudoms, 4 proc. mokesčių sąnaudoms, 1 proc. komandiruočių
ir 9 proc. kitoms išlaidoms.
2002 m. buvo toliau siekiama efektyviai valdyti Biržos sąnaudas. Suderinus su LCVPD ir VPK dėl patalpų fizinės saugos išlaidų
mažinimo, kartu užtikrinant pakankamą pastatų, patalpų, jose esančių materialinių vertybių, personalo, klientų bei viešosios tvarkos
saugą, kartu su UAB “Ekskomisarų biuras“ ir IĮ “Lukarta“ balandžio mėnesį baigtas įgyvendinti papildomų techninės saugos
priemonių įrengimo projektas. Šio projekto įgyvendinimas nuo 2002 m. balandžio mėnesio sumažino Biržos išlaidas fizinės saugos
paslaugoms 21,34% (1100,98 Lt per mėnesį).
2001 metais sumažinus Biržos nariams suteiktas patalpas bei metų pabaigoje atsisakius nuomojamų trečio aukšto patalpų,
naudojamų Biržos reikmėms, ir darbo vietas įrengus pirmo aukšto patalpose, Biržos nuomojamų patalpų plotas sumažėjo 22,7%
bei 3 etatais buvo sumažintas aptarnaujančiojo personalo skaičius. Tai sudarė prielaidas 2002 metais ženkliai sumažinti išlaidas,
susijusias su patalpų nuoma ir jų eksploatacija - patalpų nuomos bei komunalinių paslaugų išlaidos 2002 metais sumažėjo 94 tūkstančiais
litų, palyginus su tuo pačiu praeitų metų periodu.
Biržos ataskaitinių metų grynasis pelnas sudarė 146,9 tūkst. litų.

APSKAITOS POLITIKA

NACIONALINĖ VERTYBINIŲ POPIERIŲ BIRŽA
Nacionalinė vertybinių popierių birža buvo įsteigta 1992 m. rugsėjo 3 d., o 1998 m. tapo AB “Nacionalinė vertybinių popierių
birža“ (toliau – “Įmonė“). Pagrindinė Įmonės buveinė yra Konstitucijos pr. 23, Vilniuje, Lietuvoje. Įmonės pagrindinė veikla yra techninėmis
ir organizacinėmis priemonėmis koncentruoti vertybinių popierių paklausą ir pasiūlą, kartu prekybos dalyviams sukuriant
galimybę pagal nustatytas prekybos taisykles sudaryti sandorius.
2002 m. Įmonėje vidutiniškai dirbo 35 darbuotojai (2001 m. – 37 darbuotojai).
Visos sumos pridedamose finansinėse ataskaitose yra pateiktos nacionaline Lietuvos valiuta, litais (Lt).
Finansinių ataskaitų parengimo pagrindas
Pateikta sutrumpinta metinė finansinė atskaitomybė parengta pagal Lietuvos Respublikoje visuotinai priimtus apskaitos principus,
remiantis įsigijimo vertės principu. Pinigų srautų ataskaita nesudaroma. Toliau apibūdinti svarbiausi apskaitos principai.
Įvertinimai
Finansinių ataskaitų pagal Lietuvos Respublikoje visuotinai priimtus apskaitos principus paruošimas reikalauja Vadovybės įvertinimų
ir prielaidų, įtakojančių finansinėse ataskaitose pateiktas sumas ir finansinių ataskaitų pastabas. Faktiniai rezultatai gali skirtis
nuo pateiktų įvertinimų.
Ilgalaikis materialus ir nematerialus turtas
Ilgalaikis turtas apskaitomas įsigijimo verte atėmus sukauptą nusidėvėjimą. Nusidėvėjimas yra skaičiuojamas tiesioginiu metodu
per tikėtiną atitinkamo turto naudingą tarnavimo laikotarpį, išskyrus šio turto įvedimo į eksploataciją pirmą mėnesį. Toliau pateikiamas
ilgalaikio materialaus ir nematerialaus turto naudingas tarnavimo laikotarpis

Įmonės finansinį turtą sudaro investicijos į Lietuvos Vyriausybės vertybinius popierius bei asocijuotą įmonę.
Investicijos į ilgalaikius vertybinius popierius pradžioje pripažįstamos įsigijimo verte, o vėliau yra perkainuojamos tikrąją verte,
kuri nustatoma remiantis rinkos kainomis. Nerealizuotas pelnas ar nuostolis dėl vertybinių popierių tikrosios vertės pasikeitimo
yra pripažįstamas atsiradimo momentu pelno (nuostolio) ataskaitoje atitinkamai finansinės ir investicinės veiklos pajamomis arba
sąnaudomis.
Investicijos į trumpalaikius vertybinius popierius apskaitomos amortizuota verte, naudojant efektyvią palūkanų normą. Į jų
rinkos vertės sumažėjimą neatsižvelgiama, jeigu nemanoma, kad jis yra ilgalaikis. Palūkanos, gautos už tokių vertybinių popierių
laikymą, pripažįstamos pelno (nuostolio) ataskaitoje finansinės ir investicinės veiklos pajamomis.
Investicijos į asocijuotą įmonę apskaitomos įsigijimo verte.
Gautinos sumos
Įmonė įvertina gautinas sumas įsisenėjimo pagrindu ir, iškilus atgaunamumo problemai, sudaro atidėjimus.
Investicijos ir terminuoti indėliai
Investicijas ir terminuotus indėlius sudaro terminuoti indėliai bankuose, trumpalaikiai Lietuvos Vyriausybės vertybiniai popieriai
bei ilgalaikių Lietuvos Vyriausybės vertybinių popierių dalis, kurių išpirkimo terminas sueina ateinančiais finansiniais metais.

Grynieji pinigai
Įmonės grynuosius pinigus sudaro pinigai kasoje bei banko sąskaitose.
Finansavimas (subsidijos ir dotacijos)
Subsidija yra pripažįstama ir registruojama tada, kai yra pagrįstas užtikrinimas arba sprendimai, kad subsidija bus gauta.
Kapitalo subsidija iki 1996 m. buvo mažinama pardavus arba nurašius ilgalaikį turtą, kuris buvo įsigytas šios subsidijos sąskaita.
Kapitalo subsidija po 1996 m., bet iki 1999 m. buvo mažinama ilgalaikio turto, kuris buvo įsigytas šios subsidijos sąskaita, nusidėvėjimo
sąnaudomis.
Kapitalo subsidija po 1999 m. yra pripažįstama pajamomis tais laikotarpiais, kuriais yra patiriamos ilgalaikio turto (kuris buvo
gautas kaip subsidija) nusidėvėjimo sąnaudos. Kapitalo subsidija amortizuojama proporcingai jos sąskaita įsigyto ilgalaikio turto
nusidėvėjimui, amortizuotą dalį pripažįstant ataskaitinio laikotarpio finansinės ir investicinės veiklos pajamomis. Kapitalo subsidijos
sąskaita įsigyto ilgalaikio turto nusidėvėjimo sąnaudos pripažįstamos ataskaitinio laikotarpio finansinės ir investicinės veiklos
sąnaudomis.
Pajamų ir su jomis susijusių sąnaudų pripažinimas
Pajamos yra apskaitomos kaupimo principu, kai jos uždirbamos. Sąnaudos yra priskiriamos toms pajamoms, kurias uždirbant jos
buvo patirtos.
Užsienio valiuta
Operacijos užsienio valiuta yra konvertuojamos į Litus oficialiu, tą dieną Lietuvos banko nustatytu kursu, kuris apytiksliai lygus
rinkos kursui. Piniginis turtas ir įsipareigojimai yra konvertuojami į Litus balansinės ataskaitos sudarymo dienos valiutos kursu.
Pelnas ir nuostolis dėl valiutos kurso pasikeitimo yra pripažįstami metinėje pelno (nuostolio) ataskaitoje. Finansinių ataskaitų sudarymui
buvo taikyti šie valiutų kursai.

EXPLANATORY NOTE
NACIONALINĖ VERTYBINIŲ POPIERIŲ BIRŽA
In 2002, the total revenue of the Exchange constituted LTL 3,239 thousand, including LTL 2,323 thousand from operating activities, LTL
518 thousand from investment activities, and other income of LTL 398 thousand.
Income from operating activities of the Exchange can be broken into proceeds from securities trading (41%), quoting fees (35%), annual
membership fees (15%), revenue from sales of information services (8%) and other income (1%). Breakdown of income from securities
trading in 2002 is shown in Table 8. Compared to 2001, this income precipitated by almost 40%, as there was a considerable fall in
share trading in general (22.68%).

In 2002, the stability of trading lists of securities allowed for the increase of income from share quoting on the Official and Current Lists
from LTL 772 thousand forecast to LTL 821 thousand received (see Table 9). Revenue generated from companies for admission of their
shares on the Current List was also higher than forecast. Besides, additional income was received from the issuers quoted on the Current
List temporarily, when they sought to buy back their shares without intention to have them quoted on the Current List for a long time.

The Exchange actions in pursuit of new subscribers to the Exchange information services and thus increase in proceeds from them were
foreseen in the Exchange Marketing Plan. It was projected for 2002 to raise money from sales of information services to the amount of LTL
150 thousand. A pro-active marketing and development of information products and services resulted in increased revenue from these
services of up to LTL 195 thousand, exceeding that of 2001 by LTL 61 thousand (46%).
The Exchange expenditure was reduced from LTL 3,560 thousand in 2001 to LTL 3,092 thousand in 2002, or by 13 %, and can be broken
down as follows: remuneration costs constituted 38% of the total expenditure, maintenance costs accounted for 36% of expenditure,
with a lion’s share (17%) falling to amortization costs, social security payments made up 12% of total expenditure, 4 % fell to taxes, 1 % to
business trips; other expenses amounted to 9%.
In 2002, a particular attention was devoted to management of the Exchange expenditure. The Exchange, in cooperation with the CSDL
and the LSC concerning reduction of costs on physical safety of buildings, premises, material valuables, staff, clients and public order
within the territory of the three institutions and ensuring their adequate security, assisted by Ekskomisarų Biuras UAB and private enterprise
Lukarta, completed a project for installation of additional safety measures. Starting from April 2002, implementation of this project
reduced the Exchange expenditure on services of physical safety by 21.34% (LTL 1100.98 per month).
Additionally, area of premises provided to the Exchange members was reduced, new working stations on the ground floor of the building
equipped, thus removing office from premises rented on the third floor and reducing the rented area by 22.7%; the maintenance personnel
decreased by 3 positions too. These measures allowed to significantly reduce the expenditure on rent and utilities, which in 2002
decreased by LTL 94 thousand compared with the same period of the previous year.
Net profit of the Exchange for the accounting period comprised LTL 146.9 thousand.

1. ACCOUNTING POLICIES
General information – National Stock Exchange of Lithuania was established at 3 September 1992 and was registered in 1998 as a
Joint Stock company AB National Stock Exchange (the Company). The Company’s main office is located in Konstitucijos ave. 23, Vilnius,
Lithuania. The Company’s main activity is to concentrate the demand and the offer of securities using technical and organizational instruments
and to create the possibility for the trade parties to perform the trade operations according to the trade rules.
The Company employed 35 employees in 2002 (2001 – 37).
At 31 December 2002 the Company’s shareholders were:

Basis of presentation of financial statements - The financial statements have been prepared in accordance with all standards and
interpretations approved by the International Accounting Standards Board (IASB) that are referred to as International Financial Reporting
Standards (IFRS). These standards and interpretations were previously referred to as International Accounting Standards (IAS).
The accompanying financial statements are presented in the national currency of Lithuania the Litas (“LTL“).
The financial statements have been prepared on the historical cost basis, except for the revaluation of certain fixed assets and financial
instruments. The principal accounting policies are set out below.
Cash and cash equivalents - Cash and cash equivalents include cash on hand and current accounts in banks as well as cash on term
deposit with reputable banking institutions maturing within three months.
Leasing – Leases are classified as finance leases whenever the terms of the lease transfer substantially all the risks and rewards of
ownership to the lessee. All other leases are classified as operating leases.
The Company as lessee – Rentals payable under operating leases are charged to income on a straight-line basis over the term of the
relevant lease.
Foreign currency - Transactions denominated in foreign currency are translated into LTL at the official Bank of Lithuania exchange
rate on the date of the transaction, which approximates the prevailing market rates. Monetary assets and liabilities are translated at the
rates of exchange on the balance sheet date. Profits and losses arising on exchange are included in income statement for the year. The
applicable rates used for the principal currencies as of 31 December were as follows:

Fixed Assets – Fixed assets including intangible and tangible fixed assets are stated in the balance sheet at their revalued amounts less
any subsequent accumulated depreciation / amortization and subsequent accumulated impairment losses. Depreciation / amortization
is charged to the income statement so as to write-off the cost or valuation of fixed assets over their estimated useful lives, using the
straight line method, on the following basis:

On the subsequent sale or retirement of a revalued property, the attributable revaluation surplus remaining in the revaluation reserve
is transferred directly to retained earnings.
The gain or loss arising on the disposal or retirement of an asset is determined as the difference between the sales proceeds and the
carrying amount of the asset and is recognized in income statement.
Impairment – At each balance sheet date, the Company reviews the carrying amounts of its tangible assets and intangible assets to
determine whether there is any indication that those assets have suffered an impairment loss. If such indication exists, the recoverable
amount of the asset is estimated in order to determine the extent of the impairment loss (if any). Where it is not possible to estimate the
recoverable amount of an individual asset, the Company estimates the recoverable amount of the cash-generating unit to which the
asset belongs.
If the recoverable amount of an asset (or cash-generating unit) is estimated to be less than its carrying amount, the carrying amount
of the asset (cash-generating unit) is reduced to its recoverable amount. Impairment losses are recognized as an expense immediately,
unless the relevant asset is carried at a revalued amount, in which case the impairment loss is treated as a decrease of the revaluation
reserve.
Where an impairment loss subsequently reverses, the carrying amount of the asset (cash-generating unit) is increased to the revised
estimate of its recoverable amount, but so that the increased carrying amount does not exceed the carrying amount that would have
been determined had no impairment loss been recognized for the asset (cash-generating unit) in prior years. A reversal of an impairment
loss is recognized as income immediately, unless the relevant asset is carried at a revalued amount, in which case the reversal of
the impairment loss is treated as a revaluation increase.
Government grants – Non-monetary grants are stated at the fair value of the fixed assets received. The grant is recognized as income
on a straight-line basis over the life of a depreciable asset by way of a reduced depreciation charge.
Investment in associate - An associate is an enterprise over which the Company is in a position to exercise significant influence, but
not control, through participation in the financial and operating policy decisions of the investee. The Company records its investment in
the investee at cost. The Company recognises income only to the extent that it receives distributions from the accumulated net profits
of the investee arising subsequent to the date of acquisition. Distributions received in excess of such profits are considered a recovery of
investment and are recorded as a reduction of the cost of the investment.
Investment securities – The Company classifies its investment securities into the following two categories: held-to-maturity and
available-for-sale assets. Investment securities with fixed maturity where management has both the intent and the ability to hold to
maturity are classified as held-to-maturity. Investment securities and intended to be held for an indefinite period of time, which may be
sold in response to needs for liquidity or changes in interest rates, exchange rates or equity prices are classified as available for sale. Management
determines the appropriate classification of its investments at the time of the purchase.
Investment securities are initially recognized at cost (which includes transaction costs). Available-for-sale financial assets are subsequently
re-measured at fair value based on quoted bid prices or amounts derived from cash flow models. Fair values for unquoted equity
instruments are estimated using applicable price/earnings or price/cash flow ratios refined to reflect the specific circumstances of the
issuer. Unrealised gains and losses arising from changes in the fair value of securities classified as available-for-sale are recognized as
they arise in the income statement. When the securities are disposed of or impaired, the related accumulated fair value adjustments are
included in the income statement as gains and losses from investment securities.
Held-to-maturity investment securities are carried at amortized cost using the effective yield method, less any impairment loss recognized
to reflect irrecoverable amounts.

A financial asset is impaired if its carrying amount is greater than its estimated recoverable amount. The amount of the impairment
loss for assets carried at amortized cost is calculated as the difference between the asset’s carrying amount and the present value of expected
future cash flows discounted at the financial instrument’s original effective interest rate. By comparison, the recoverable amount
of an instrument measured at fair value is the present value of expected future cash flows discounted at the current market rate of interest
for a similar financial asset.
Interest earned whilst holding investment securities is reported as interest income. Dividends receivable are included separately in
income from trading securities and investments securities held for trading and available for sale when a dividend is declared.
All regular way purchases and sales of investment securities are recognized at trade date, which is the date that the Company commits
to purchase or sell the asset. All other purchases and sales are recognized as derivative forward transactions until settlement.
Financial instruments – Financial assets and financial liabilities are recognized on the Company’s balance sheet when the Company
has become a party to the contractual provisions of the instrument.
Trade receivables are stated at their nominal value as reduced by appropriate allowances for estimated irrecoverable amounts.
Term deposits are initially recognized at cost. Subsequently term deposits that the Company has the expressed intention and ability to
hold to maturity are measured at amortized cost, less any impairment loss recognized to reflect irrecoverable amounts.
Trade payables are stated at their nominal value.
Credit risk – The Company’s credit risk is attributable to its trade and other accounts receivable. The amounts presented in the balance
sheet are net of allowances for doubtful receivables estimated on prior experience.
The credit risk of liquid funds (cash and term deposits) is limited because the counter parties are banks with high credit ratings assigned
by international credit-ratings agencies.
The Company has no significant concentration of credit risk, with exposure spread over a number of counter parties and customers.
Fair value of financial instruments – Fair value represents the amount at which an asset could be exchanged or liability settled on an
arm’s length basis. Where, in the opinion of the management, the fair value of financial assets and liabilities differs materially from their
book value, such fair values are separately disclosed in the notes to the financial statements.
Revenue recognition and related expenses - Revenues are recognized as income on an accrual basis when earned. Expenses are
charged to operations as incurred.
Earnings per share - For the purpose of calculating the basic earnings per share the weighted average number of common shares
outstanding during 2002 and 2001 was 246. The Company had no dilutive share options outstanding during the years ended or at 31
December 2002.
Taxation – Income tax expense represents the amount of the tax currently payable and deferred tax. The tax currently payable is
based on taxable profit for the year. Taxable profit differs from net profit as reported in the income statement because it excludes items
of income or expense that are taxable or deductible in other years and it further excludes items that are never taxable or deductible. The
Company’s liability for current tax is calculated using tax rates that have been enacted by the balance sheet date.
Deferred taxes arise from timing differences in the recognition of revenue and expenses for tax and financial reporting purposes. The
Company has not recognized the deferred income tax benefit from costs, which have been recognized for financial reporting purposes
in advance of their deductibility for income tax purposes due to uncertainty over whether these assets will be realized.
Related parties – Parties are considered to be related if one party has the ability to control the other party or exercise significant influence
over the other party in making financial and operating decisions. Related parties are defined as shareholders, employees, members
of the supervisory council and management board, their close relatives and companies that directly, or indirectly through one or more
intermediaries, control, or are controlled by, or are under common control with, the reporting party.
Use of estimates - The preparation of financial statements in conformity with International Financial Reporting Standards requires
management to make estimates and assumptions that affect the amounts reported in the financial statements and accompanying
notes. Actual results could differ from those estimates.
Reclassifications - Certain balances of year 2001 have been reclassified in order to conform to the year 2002 presentation.

4. INVESTMENTS IN ASSOCIATE
As of 31 December 2002 and 2001 the Company owned 8 percent of associated company AB Central Securities Depository of Lithuania.

Investment securities have been classified into available-for-sale and held-to-maturity based on whether management has positive
intent and ability to hold certain securities until maturity.
Lithuanian short-term government bill have maturity of tree months with an effective interest rate of 2.45%.
Lithuanian long-term treasury bonds are related to restructuring of AB Lietuvos Akcinis Inovacinis Bankas (LAIB). These bonds are noninterest
bearing assets and have maturity from one to five years.

9. SHARE CAPITAL
As of 31 December 2002 and 2001 issued share capital of the Company consisted of 246 common shares at par value of LTL 15,000
each. All shares are fully paid.

10. RESERVES
The revaluation reserve represents the increase in the value of tangible fixed assets created through revaluation performed based
on government indexation rates prior to 31 December 1995. Revaluation reserve is debited against retained earning at the moment of
write-off or disposal of revalued fixed asset.
A compulsory reserve is required under Lithuanian legislation. Annual transfer of not less then 5% of distributable profit calculated in
accordance with the Lithuanian legislation are compulsory until the reserve reaches 10% of the share capital.
11. GOVERNMENT GRANTS
Government grants represent fixed assets received. The grant is recognized as non-monetary income in line with the depreciation
charge of related fixed assets. The assets related to the grants are expected to be fully depreciated and/or disposed during the next two
years.
12. GUARANTY FUND
The guarantee fund consists of deposits received from financial broker companies and constitutes as a security for the transactions in
the National Stock Exchange of Lithuania.

18. RELATED PARTY TRANSACTIONS
Parties are considered to be related if one party has the ability to control the other party or exercise significant influence over the other
party in making financial or operational decisions.
A vast majority of all transactions of the Company in the normal course of business are entered into with related parties. In the opinion
of management, these transactions were carried out on commercial terms and at market rates.
19. COMMITMENTS AND CONTINGENCIES
Operating leases – At 31 December 2002 the Company had outstanding commitments of LTL’000 366 (2001 – LTL’000 540) related to
the rental of premises.
