5 sold is in excess <strong>of</strong> one hundred thousand dollars, a sum not to exceed<br />

6 five per cent <strong>of</strong> the par value <strong>of</strong> bonds or debentures sold may be used<br />

7 by committees elected by the members for selling or soliciting for the<br />

8 sale <strong>of</strong> such securities or for hiring responsible salaried solicitors for<br />

9 that purpose.<br />

SEC. 5408-al9. Duration <strong>of</strong> incorporation — dissolution or renewal.<br />

1 Associations formed under the provisions <strong>of</strong> this chapter shall<br />

2 continue for a period <strong>of</strong> twenty-five years, unless earlier dissolved by<br />

3 order <strong>of</strong> its members or by other processes as by law provided, and the<br />

4 term <strong>of</strong> its existence may be renewed by the filing <strong>of</strong> new articles <strong>of</strong><br />

5 association, as by law provided.<br />

CHAPTER 3-B.<br />

COLLECTIVE BARGAINING.<br />

SECTION 5408-a20. Collective bargaining authorized.<br />

1 Persons engaged in the conduct <strong>of</strong> any agricultural, horticultural,<br />

2 dairy, live stock, mercantile, mining, or manufacturing business in the<br />

3 manner provided in section fifty-four hundred eight-a twenty-two <strong>of</strong><br />

4 this supplement may act together in associations, corporate or other-<br />

5 wise, for the purpose <strong>of</strong> collectively producing, processing, preparing<br />

6 for market, handling and marketing the products <strong>of</strong> their members.<br />

7 Such persons may organize and operate such associations, and such<br />

8 associations may make the necessary contracts and agreements to<br />

9 effect that purpose, any law to the contrary notwithstanding.<br />

SEC. 5408-a21. Contracts for liquidated damages.<br />

1 Contracts and agreements entered into between associations and<br />

2 the members there<strong>of</strong> may, where damages that may be sustained for<br />

3 the breach there<strong>of</strong> are difficult <strong>of</strong> ascertainment, provide for such pen-<br />

4 alties as may be agreed upon, which penalties, if the parties thereto<br />

5 so agree, shall be construed as liquidated damages and be enforcible in<br />

6 the full amount there<strong>of</strong> both at law and in equity.<br />

SEC. 5408-a22. Applicability <strong>of</strong> chapter.<br />

1 The provisions <strong>of</strong> this chapter shall apply :<br />

2 1. To corporations organized under the provisions <strong>of</strong> chapter three<br />

3 <strong>of</strong> this title.<br />

4 2. To other incorporated associations or companies organized<br />

5 without capital stock, not for pecuniary pr<strong>of</strong>it and for the mutual bene-<br />

6 fit <strong>of</strong> their members.<br />
