the time of the issuance of the purchase order and this shall be the sole remuneration owed by the Contracting Authority to the Contractor under the framework contract. 3.1.2. Price for Spare parts for lots 5 and 6. 3.1.2. a. For lots 5 and 6, concerning the spare parts listed per vehicle, the prices in the financial offer, shall be the sole remuneration owed by the Contracting Authority to the Contractor under the framework contract. 3.1.2. b. For lots 5 and 6, concerning any other spare part than the ones referred to in article 3.1.2.a above i.e. concerning any spare parts NOT listed in the financial offer; in case vehicle’s Genuine Manufacturer’s parts and materials are available, the unit price will be the one referred to in the manufacturer’s price list in force at the time of the issuance of the purchase order. When vehicle’s Genuine Manufacturer’s parts and materials are not available, (e.g. for old dated vehicles), the contractor shall inform the project manager who may agree upon equivalent high standard parts as OEM (Original Equipment Manufacturer) to be installed, followed by a review and approval from EULEX Technical Experts. 3.1.3. c. For lots 5 and 6, the unit prices of the spare parts listed per vehicle in the financial offer shall be firm and shall not be subject to revision for purchase orders placed during the two years of implementation of the framework contract. A price revision clause, in article 15 of the special conditions, may be applied after the second year, should the Contracting Authority decide to extend this Framework Contract in accordance with Article 1.6 of the contract. 3.2. Price for Labour. 3.2.1. For Labor the cost shall be determined by multiplying the unit price per working hour as specified in the financial offer with the amount of working hours specified on the invoice (as approved by the project manager). 3.2.2. For lots 1 and 2 and 3 and 4 the number of hours of labor shall be calculated using the Manufacturer’s Flat Rate Schedule. 3.2.3. For lot 5, when it is still available, the number of hours of labor shall be calculated using the Manufacturer’s Flat Rate Schedule. Wherever Manufacturer’s Flat Rate Schedule is not available, the Contracting Authority will request a quotation for repair work in writing. The quotation will be sent to EULEX Transport HQ for approval in advance of any repair taking place. 3.2.4. For all lots, the price per hour of labour shall be firm and shall not be subject to revision for purchase orders placed during the two years of implementation of the framework contract. A price revision clause, in article 15 of the special conditions, may be applied after the second year, should the Contracting Authority decide to extend this Framework Contract in accordance with Article 1.6 of the contract. 3.3. The sum of all payments shall not exceed the maximum budgetary sum of . 3.4. Payments shall be made in accordance with the General and/or Special Conditions (Articles 26 to 28). Payments shall be made to the bank account of the contractor, with identification number < ….>.
3.5. Tax and customs arrangements The contract shall be exempt from all duties and taxes, including VAT. 8 Article 4 Order of precedence of contract documents The contract is made up of the following documents, in order of precedence: - the framework Contract Agreement; - the Special Conditions - the General Conditions (Annex I); - the Technical Specifications (Annex II [including clarifications before the deadline for submission of tenders]; - the Technical Offer (Annex III [including clarifications from the tenderer provided during tender evaluation]; - the budget breakdown (Annex IV); - the respective purchase order (Annex V) - Provisional Acceptance Certificate (Annex VI) - specified forms and other relevant documents (Annex VII); The various documents making up the contract shall be deemed to be mutually explanatory; in cases of ambiguity or divergence, they shall prevail in the order in which they appear above.
