Michelin Buys Oliver<br />
Rubber for $69 million<br />
Michelin North America, Inc. has announced that it has<br />
signed a <strong>de</strong>finitive agreement to acquire Oliver Rubber<br />
Company, the Cooper Tire & Rubber Company tread rubber<br />
and retreading equipment subsidiary, for $69 million.<br />
The acquisition is subject to final due diligence as<br />
well as Fe<strong>de</strong>ral Tra<strong>de</strong> Commission and U.S. Department<br />
of Justice approval. It is generally expected that the<br />
<strong>de</strong>al will be finalised in September. Following the<br />
acquisition, Oliver will operate as a subsidiary of<br />
Michelin North America, Inc. According to an official<br />
Michelin statement on the subject “this acquisition<br />
will complement the manufacturing capability and<br />
service network of Oliver with that of the Michelin Retread<br />
Technologies (MRT) network, enabling Michelin<br />
to extend its reach in the growing commercial retreading<br />
market.”<br />
Oliver's manufacturing capacity, product portfolio and experienced<br />
workforce are a terrific complement to Michelin's current<br />
retread operation," said Luc Minguet, Chief Operating Officer<br />
of Michelin Americas Truck Tire. "We believe the two brands, managed<br />
according to Michelin's strategic focus, will offer the North<br />
American trucking industry broa<strong>de</strong>r access to products and services<br />
to better meet their needs."<br />
Oliver Rubber operates two production facilities in North Carolina<br />
where it produces treads, retread material and retread equipment.<br />
About 300 people are employed in the Asheboro facility and<br />
another 30 in Salisbury. The company markets both material and<br />
equipment through a network of in<strong>de</strong>pen<strong>de</strong>nt retrea<strong>de</strong>rs that are<br />
licensed by Oliver Rubber as a system provi<strong>de</strong>r. Oliver retrea<strong>de</strong>rs –<br />
according to estimates there are about 150 in the US alone –<br />
produce retreads in a pre-cured as well as a mould-cure process.<br />
Market observers believe that Oliver Rubber’s annual turnover is<br />
about $100 million, a figure which will increase the turnover Michelin<br />
generates in the retreading business by about 15 per cent, up to $800<br />
million. According to analysts, the takeover of Oliver Rubber was a<br />
“strategic step”. Other market observers do not believe that it was<br />
the “Oliver Rubber” brand as such that ma<strong>de</strong> the difference, rather<br />
that the takeover was a mere purchasing of additional capacity for<br />
North America. Approximately a year ago Michelin doubled its own<br />
production capacity in Covington (Georgia) and announced the installation<br />
of yet another tread/retread material facility in the Mexican<br />
town of Queretaro, which entered into operation this July. According<br />
to Michelin North America, <strong>de</strong>mand from MRT franchisees for retreading<br />
material and treads is growing strongly.<br />

zum Kaufpreis von 69 Millionen US-Dollar die Oliver<br />
Rubber Company – ein Tochterunternehmen <strong>de</strong>r Cooper<br />
Tire & Rubber Company – übernehmen zu wollen. Wie<br />
es weiter heißt, haben bei<strong>de</strong> Seiten bereits eine entsprechen<strong>de</strong><br />
Vereinbarung unterzeichnet. Die Cooper-<br />
Tochter produziert Laufflächenmischungen und Run<strong>de</strong>rneuerungsmaterial.<br />

„Mit seinen Produktionskapazitäten, seinem Produktportfolio<br />
und <strong>de</strong>m Know-how seiner Mitarbeiter ergänzt Oliver unsere<br />
Run<strong>de</strong>rneuerungsaktivitäten in i<strong>de</strong>aler Weise", ist Luc Minguet,<br />
Chief Operating Officer Michelin Americas Truck Tire, überzeugt.<br />
Der US-Materialhersteller Oliver Rubber betreibt zwei Produktionsstätten<br />
in North Carolina, eine in Asheboro mit 300 Mitarbeitern<br />
und eine in Salisbury mit 30 Mitarbeitern. Neben Laufstreifen und<br />
Materialien für die Heißerneuerung stellt Oliver Rubber auch Anlagen<br />
für die Run<strong>de</strong>rneuerung her. Bei<strong>de</strong>s wird an von Oliver lizenzierte,<br />
unabhängige Run<strong>de</strong>rneuerer als System vermarktet. Entsprechen<strong>de</strong><br />
Systemnehmer – laut Schätzungen sind dies etwa 150 allein<br />
in <strong>de</strong>n USA – arbeiten nach <strong>de</strong>m Heiß-wie auch <strong>de</strong>m Kaltverfahren.<br />
Schätzungen zufolge macht Oliver Rubber einen Jahresumsatz<br />
von 100 Millionen Dollar, was <strong>de</strong>n Umsatz <strong>de</strong>r Michelin-Gruppe im<br />
Run<strong>de</strong>rneuerungsgeschäft um rund 15 Prozent auf dann 800 Millionen<br />
Euro steigern wür<strong>de</strong>. Analysten sehen in <strong>de</strong>r Übernahme zwar<br />
einen strategischen Schritt für Michelin. Marktbeobachter hingegen<br />
messen <strong>de</strong>r Marke „Oliver Rubber" keine nennenswerte Be<strong>de</strong>utung<br />
bei, so dass die Übernahme schlicht auf die Erweiterung <strong>de</strong>r Kapazitäten<br />
für Michelin hinausläuft. Michelin hatte erst im vergangenen<br />
Jahr seine eigenen Kapazitäten in Covington (Georgia) verdoppelt<br />
und die Errichtung einer weiteren Produktionsstätte im mexikanischen<br />
Queretaro zum Juli dieses Jahres vollzogen, um die stark<br />
steigen<strong>de</strong> Nachfrage vonseiten <strong>de</strong>r MRT-Franchisenehmer zu befriedigen.<br />
Das Unternehmen Oliver Rubber Co. besteht bereits seit 1912; es<br />
