Assurance needs to evolve to respond to that, targeted assurance to the need of key stakeholder groups. Assurance should be much more in tune with what stakeholders actually want assurance on.” Aus der Sicht einiger dieser Zielgruppen ist ein verifizierter Bericht von wenig zusätzlichem Wert. Sie legen Wert auf einen ernsthaften Willen des Unternehmens bzw. seines Vorstandes, sich auf den Weg Richtung Nachhaltigkeit zu begeben. Sie möchten sehen, dass sich dies in Strategie, Instrumenten, wo nötig Einbindung der Betroffenen und vor allem in der Leistung niederschlägt. Und hierzu bedarf es der kritischen Überprüfung auf allen Ebenen, nicht nur auf der Berichtsebene. Letztlich drücke es ein Assurance-Spezialist so aus: „Assurance, das ist eigentlich ein Gefühl!“ Wir interpretieren dies so, dass sich durch interne wie externe Assurance bei den Zielgruppen das Gefühl einstellen sollte, das Unternehmen bemühe sich und sei in angemessener Geschwindigkeit auf dem richtigen Weg. Das Ziel von Assurance ist ein Gefühl des Vertrauens. Testierung von Nachhaltigkeitsberichten ist hierfür eins von vielen Instrumenten und damit Baustein eines großen Systems. Bis ein solches System entwickelt, angewandt und anerkannt wird, ist es noch ein weiter Weg. 7 Die Wirkung von Gesetzen zur Geschäftsberichterstattung mit Bezug zur Nachhaltigkeit In den folgenden Abschnitten soll auf zwei gesetzliche Regulierungen eingegangen werden, die für den Lagebericht nichtfinanzielle Indikatoren und Informationen vorsehen. Zum einen wird hier der Operating and Financial Report nach dem neuen Company Act in Großbritannien fokussiert, zum anderen der KING „Code of Corporate Practices and Conduct“ in Südafrika. 7.12 Operating and Financial Review in Großbritannien Letztlich machen die bisher verfügbaren Dokumente nur wenig spezifische Aussagen zu umweltbezogenen und sozialen Inhalten des operating and financial review (OFR). Im Draft des neuen company act heißt es in Teil 2 „directors report“ (Secretary of State 2005): (1) The directors' report for a financial year must contain- (a) a fair review of the business of the company, and (b) a description of the principal risks and uncertainties facing the company. (2) The review required is a balanced and comprehensive analysis of- (a) the development and performance of the business of the company during the financial year, and (b) the position of the company at the end of that year, consistent with the size and complexity of the business. 38 Es ist wohl kein Zufall, das gerade ein Befragter aus dem Kreis der Big Four sich klarere Standards wünscht. 65

Ein wenig deutlicher wird das Department of Trade and Industry in seinem Guidance Document (DTI 2005). Hier wird zum einen (3A. b.) deutlich auf OFR-Zielgruppen außerhalb der Shareholder hingewiesen, 3A. b. To whom are we addressing the OFR? Directors are addressing the OFR to shareholders. The purpose of the OFR is to assist shareholders assess a company’s strategies and the potential for them to succeed. It will assist shareholders to make an assessment not only of the company’s past performance, but also of the directors’ view on its future prospects. Information in the OFR will also be of interest to other stakeholders, including: employees, suppliers, customers, regulators and other users or reports and accounts such 3A. d. Does the OFR have to include information about the environment, company employees, social and community issues? To the extent necessary for directors to comply with the general requirements of paragraphs 1 and 2 of the OFR Schedule , yes it does. The OFR Schedule specifies what information directors need to consider for inclusion. Directors will need to make judgements about what data and analysis to include, and the level of detail to which it is appropriate to go. 3A. q. Does the directors’ report have to include key performance indicators (“KPIs”) – financial and/or non-financial? If so, which ones and how many? To the extent necessary to understand the development, performance or position of the business of the company, the directors’ report will have to include financial KPIs and, where appropriate, analysis using other KPIs, including information relating to environmental and employee matters. Companies can look for guidance to the (ASB) reporting standard that underpins the OFR. However, the Regulations do not specify how many KPIs should be included, nor mandate any particular KPIs for all companies to report on. The number and choice of KPIs included is for directors to decide. 3A. r. What are KPIs? Key performance indicators are factors that effectively measure the development, performance or position of the business of the company. 3A. s. As my company is medium-sized do I need to report on all those factors? The directors’ report on qualifying medium-sized companies need not include analysis using key performance indicators, so far as they relate to non-financial information (including information relating to environmental and employee matters). However, even if not required to include such analysis, medium-sized companies are very much encouraged to report on these issues voluntarily in recognition of the benefits such disclosure brings to the operation of the business. Companies that do so can look for guidance to the (ASB) reporting standard that underpins the OFR. Auch das hier erwähnte Accounting Standards Board (ASB) wird aber nicht wirklich konkret.
