(5) We store the production resources at no cost for three years from the last delivery to the purchaser. After this
we request the purchaser in writing to state within six weeks whether they will be required for further use. Our
obligation to keep the resources ends if no response is received within this six weeks or no new order is
placed. If the purchaser requests a longer storage time than three years, we reserve the right to charge storage
costs.
(6) We may only use client-specific production resources to supply third parties with the prior written agreement of
the purchaser.
5. Prices
Unless agreed otherwise, our prices are quoted in Euro and are exclusive of packaging, freight, carriage and
insurance. VAT is added separately at the appropriate rate.
6. Payment terms
(1) Unless another agreement has been expressly made, our invoices are due for payment within 30 days of
invoice date without deductions.
(2) We are entitled to surrender the claims from our business relationships.
(3) If we have indisputably supplied goods that are partially defective, the purchaser is nevertheless obliged to
make payment for the non-defective part unless the partial delivery is of no interest to him. Apart from this, the
purchaser may only offset against legally established and uncontested counterclaims.
(4) If a payment deadline is exceeded we are entitled to charge default interest at the rate charged to us by our
bank for overdrafts, but at least 8 percentage points above the applicable base rate as per section 247 para. 1
of the German Civil Code (BGB). In the case of arrears we may, after notifying the purchaser in writing,
suspend the fulfilment of our obligations until payment is received.
(5) Payment by bill of exchange or by cheque are only accepted by prior arrangement and only on account of
performance and on the condition of their eligibility for discount. Discount charges are calculated from the day
on which the invoice amount falls due. Any guarantee for the correct presentation of the bill and for the raising
of a bill protest is excluded.
(6) Should a risk to the satisfaction of our demand for payment become apparent after the contract has been
agreed owing to the purchaser’s inability to pay, we may withhold performance and determine an appropriate
period in which he pays by instalment against delivery or provides security. If the purchaser refuses to perform
or the said period expires without payment we are entitled to withdraw from the contract and demand
compensation.
7. Delivery
(1) Unless otherwise agreed, we deliver “ex works”. The notification by us that the goods are ready for shipping or
collection shall determine that the delivery date or delivery period has been observed.
(2) Should any of the circumstances occur in section 15 be present the delivery period shall be extended
appropriately.
(3) Partial deliveries are permissible to a reasonable extent. These are invoiced separately. Delivery quantities that
differ from the ordered quantities are permitted within the tolerances stipulated in DIN EN 10254:1999. For
invoicing purposes the delivery quantity determined by us is permitted.
8. Packaging
We ship our products in single-use or reusable packaging as per the customer’s wishes, and in both cases in
accordance with German packaging regulations. Single-use packaging such as wooden crates, cartons etc. are
charged at cost and not returned. Reusable pallets and Gitterboxes, pallets with collars and lids, containers and
cartridges remain our property and must be returned without delay to the delivery point at no cost to us.
