15. Force majeure

Force majeure, industrial action, civil unrest, administrative measures, failure of our suppliers to deliver or other
unforeseeable, unavoidable and disruptive events shall release both contractual partners from their obligations
to perform for the duration of the disruption and to the extent of its effects. This shall also apply where the
events occur at a time at which the affected contractual partner is in default, unless the default has been
caused by deliberate action or gross negligence. The contractual partners are obliged to provide the
necessary information as quickly as can be reasonably expected and to adapt their obligations to the changed
circumstances in good faith.
16. Place of performance, place of jurisdiction
(1) Unless otherwise determined with order confirmation, the place of performance shall be our place of business.
For all disputes, including those related to bill of exchange or cheque proceedings, the place of jurisdiction shall
be, at our discretion, our place of business or Bonn. We are also entitled to bring legal action at the purchaser’s
place of business.
(2) The contractual relations shall be governed exclusively by the law of the Federal Republic of Germany. The
application of the UN Convention of 11 April 1980 on contracts for the purchase of goods (CSIG - Vienna Sales
Convention) is excluded.
