In order to set up a business enterprise in Nigeria, you must first register at the Corporate
Affairs Commission (CAC). The enterprise can be either a Private Limited Liability Company
(Ltd), a Public Liability Company (Plc), an Unlimited Liability Company, Company Limited by
Guarantee, Foreign Company, Sole Proprietorship, Incorporated Trustees (religious, cultural,
charitable, philanthropic) or a representative office (such as a liaison office).
A minimum share capital of at least 10,000 ₦ (€45) is required for a private business
enterprise and 500,000 ₦ (€2250) for a public enterprise.
Furthermore, a minimum subscription of 25% of the authorised capital is also required.
The registration of a business enterprise includes the following steps:
- Preparation of the memorandum and the articles of association of the proposed
company.
- Conducting an availability search of the proposed name of the company at the CAC
desk. Once the name is cleared, a set of incorporation forms should be purchased
and completed.
- Submitting initial documents to the Federal Inland Revenue Service Desk for payment
of stamp duties and stamping.
- Completed and stamped documents with attached permits are to be submitted to the
CAC for verification.
- The Certificate of Incorporation (COI) is then issued, with accompanied Certified True
Copies of relevant documents to the investor.
This process generally only take a few days. All further processes are conducted at the CAC,
which also keeps the company records in safe custody.
