Eine GmbH (Klägerin und Revisionsklägerin) übernahm zum<br />
1. Juli 1994 den Betrieb einer Tochtergesellschaft im Wege<br />
eines Asset Deals: Sie übernahm sämtliche Wirtschaftsgüter.<br />
Mit Ausnahme der erworbenen Patente, Lizenzen und Handelsmarken<br />
sowie des Firmenwerts wurden die Vermögensgegenstände<br />
und Schulden in der (handels<strong>recht</strong>lichen) Eröffnungsbilanz<br />
der GmbH mit den Buchwerten angesetzt. In<br />
diesem Kontext wurden unter anderem auch Jubiläumsverpflichtungen<br />
(Rückstellung für Dienstjubiläum) übernommen,<br />
die bei der Bemessung des (Gesamt-)Kaufpreises der Wirt-<br />
New regulations on German insolvency law<br />
The German Insolvency Law Reform (Gesetz zur weiteren Erleichterung der Sanierung von Unternehmen, or ESUG) is in<br />
force since March 1, <strong>2012</strong>. The ESUG seeks to accommodate some of the major weaknesses of current insolvency regulations,<br />
namely providing for an increased creditor’s influence to appoint the insolvency trustee, establishing a preliminary<br />
creditor’s committee already at an early stage and facilitating debtor’s access to self-administration. The appointment of a<br />
preliminary creditors’ committee is now compulsory if at least two of the following three criteria are met: a balance sheet<br />
total of €4.84 million, revenues of €9.68 million and an annual average of 50 employees. In the course of restructurings to<br />
consolidate the company the ESUG now explicitly admits so-called debt-equity swaps as part of an insolvency plan. As an<br />
alternative to a trustee the debtor may now himself act as administrator under the supervision of a custodian. This can only<br />
be denied if there are specific facts indicating that the proceedings are disadvantageous for the creditors. Under certain<br />
conditions the ESUG provides for a pre-solvency rescue package: Within three months the debtor company should set up its<br />
own insolvency plan and it has the opportunity to restructure itself on its own. In addition, the debtor should submit an<br />
expert opinion (tax advisor, certified accountant, legal counsel etc.) explaining that insolvency is imminent but that the<br />
anticipated restructure is not hopeless altogether. Under the rescue package a preliminary trustee other than the one giving<br />
the expert opinion is appointed by the court. The new ESUG rules are not available for insolvency proceedings proposed<br />
before March 1, <strong>2012</strong>. (MH)<br />
